Target ESPP definition

Target ESPP shall have the meaning set forth in Section 2.2(b) hereof.
Target ESPP means the Amended and Restated Reliant Bancorp, Inc. 2018 Employee Stock Purchase Plan.

Examples of Target ESPP in a sentence

  • On the New Exercise Date, the Target shall apply the funds credited as of such date under the Target ESPP within each participant's payroll withholdings account to the purchase of whole shares of Target Common Stock in accordance with the terms of the Target ESPP.

  • Since the close of business on March 14, 1997, no shares of Target Capital Stock have been issued except pursuant to the exercise of options outstanding as of March 14, 1997 under the Target Stock Option Plans or pursuant to the Target ESPP.

  • As such, not all member states have the same voting power in the Council.

  • As of the close of business on November 12, 1996, there were no other outstanding commitments to issue any shares of capital stock or voting securities of Target other than pursuant to the Option Agreement, the exercise of options outstanding as of such date under the Target Stock Option Plans, pursuant to the Target ESPP or pursuant to the Warrants (as defined below).

  • Except as expressly permitted by the terms of this Agreement, since November 11, 1996, Target has not (i) issued or granted additional options under the Target Stock Option Plans, or (ii) accepted contributions to or enrollments in the Target ESPP.

  • When issued in accordance with the terms of the Target Stock Option Plans, the Target ESPP and the Warrants, the Target Common Stock so issued will be duly authorized, validly issued, fully paid and non-assessable and will not be subject to preemptive rights or right of first refusal created by statute, the Certificate of Incorporation or Bylaws of Target or any agreement to which Target is a party or by which it is bound.

  • All rights to purchase shares of Target Common Stock under the Target ESPP ("Purchase Rights") shall be exercised at the end of such offering period or the ----------------- holders of such Purchase Rights shall otherwise withdraw from the Target ESPP in accordance with the terms thereof.

  • Company ESPP means the Company’s Employee Stock Purchase Plan.

  • ESPP means the Company’s Employee Stock Purchase Plan.

  • Offering Period means a period with respect to which the right to purchase Common Stock may be granted under the Plan, as determined by the Committee pursuant to Section 5(a).

  • Retirement Plans means the retirement income, supplemental executive retirement, excess benefits and retiree medical, life and similar benefit plans providing retirement perquisites, benefits and service credit for benefits at least as great in value in the aggregate as are payable thereunder prior to a Change in Control.

  • Prior Plans means, collectively, the Company’s 2006 Long-Term Incentive Plan, as amended, 2009 Long-Term Incentive Plan, 2012 Long-Term Incentive Plan and 2013 Long-Term Incentive Plan. Awards granted under the Prior Plans continue to be governed under the terms of those Prior Plans.

  • Annual Action Plan means any of the plans referred to in Section 3.05 (a) and/or (c) of this Agreement;

  • Company Benefit Plans has the meaning set forth in Section 3.16(a).

  • Purchase Period means a period of time specified within an Offering, generally beginning on the Offering Date or on the first Trading Day following a Purchase Date, and ending on a Purchase Date. An Offering may consist of one or more Purchase Periods.

  • Prior Plan means the coverage provided on a group or group-type basis by the group insurance policy, benefit plan or service plan that was terminated on the day before the Effective Date of the Plan and replaced by the Plan.

  • Flexi Plan means any individual indemnity hospital insurance plan under the VHIS framework with enhancement(s) to any or all of the protections or terms and benefits that the Standard Plan provides to the Policy Holder and the Insured Person, subject to certification by the Government. Such plan shall not contain terms and benefits which are less favourable than those in the Standard Plan, save for the exception as may be approved by the Government from time to time.

  • Non-U.S. Benefit Plan has the meaning set forth in Section 3.20(a).

  • Parent Plans has the meaning set forth in Section 6.4(c).

  • SPP Has the meaning stated in the preamble of this Agreement.

  • Steps Plan means a plan evidenced by Eligible Information contemplating that there will be a series of successions to some or all of the Relevant Obligations of the Reference Entity, by one or more entities.

  • Car sharing period means the period of time that:

  • Old Plans has the meaning set forth in Section 6.8(b).

  • Company Stock Plans has the meaning set forth in Section 3.02(b).

  • Payroll Period means "payroll period" as defined in Section 3401(b) of the Internal Revenue Code;

  • Multiple employer welfare arrangement means a “multiple employer welfare arrangement” within the meaning of Section 3(40) of ERISA.

  • Company Benefit Plan has the meaning specified in Section 4.13(a).

  • Company Option Plans means the following stock option plans of the Company: (a) the Amended and Restated 1989 Stock Plan, (b) the Amended and Restated 1996 Stock Incentive Plan and (c) the 2002 Nonqualified Stock Incentive Plan.

  • Company Stock Option Plans has the meaning ascribed to it in Section 2.6(c).

  • RSP means Rail Settlement Plan Limited;

  • Offering Periods means the periods of approximately ---------------- twenty-four (24) months during which an option granted pursuant to the Plan may be exercised, commencing on the first Trading Day on or after May 1 and November 1 of each year and terminating on the last Trading Day in the periods ending twenty-four months later; provided, however, that the first Offering Period under the Plan shall commence with the first Trading Day on or after the date on which the Securities and Exchange Commission declares the Company's Registration Statement effective and ending on the last Trading Day on or before April 30, 2002. The duration and timing of Offering Periods may be changed pursuant to Section 4 of this Plan.

  • Option Plans has the meaning assigned thereto in Section 2.7.

  • DSU Plan means the Deferred Share Unit Plan of the Corporation.
