Substituted Guarantor definition

Substituted Guarantor has the meaning set forth under Section 12.01(1) hereof.
Substituted Guarantor means any company which is either the ultimate parent company of the relevant Issuer or a company with the same ultimate parent company as the relevant Issuer, save that in the latter case such Substituted Guarantor shall have a credit rating at least equal to that of the relevant Guarantor as at the date of substitution.
Substituted Guarantor means any company which is a direct or indirect subsidiary of the Guarantor which has a credit rating at least equal to that of the Guarantor (or the previous Substituted Guarantor) as at the date of substitution.

Examples of Substituted Guarantor in a sentence

  • The Substituted Guarantor shall acknowledge in the Documents the right of every Noteholder to the production of the Documents for the enforcement of any of the Notes or the Documents.

  • Not later than 15 London Business Days after the execution of the Documents, the Substituted Guarantor shall give notice thereof to the Noteholders in accordance with Condition 14.

  • The Trustee shall be entitled to rely on a certificate from two Authorised Signatories of such Substituted Guarantor that such entity fulfils the requirement of this paragraph.

  • The execution of the Guarantor Substitution Documents shall operate to release the relevant Guarantor as guarantor (or such previous Substituted Guarantor) from all of its obligations as guarantor in respect of the Notes.

  • He/she must have completed his/her last two years of education from abroad.

  • Upon the execution of the Documents as referred to in Condition 18(b)(i) above, the Substituted Guarantor shall be deemed to be named in the Notes as the guarantor in place of the Guarantor (or of any previous substitute under these provisions) and the Notes shall thereupon be deemed to be amended to give effect to the substitution.

  • The Documents shall be deposited with and held by the Principal Paying Agent and the Registrar for so long as any Note remains outstanding and for so long as any claim made against the Substituted Guarantor by any Noteholder in relation to the Notes or the Documents shall not have been finally adjudicated, settled or discharged.

  • The Substituted Guarantor shall acknowledge in the New Guarantee the right of every Noteholder, Couponholder, Receiptholder and Talonholder to the production of the New Guarantees for the enforcement of any of the Notes or the New Guarantee.

  • Upon the execution of the Documents as referred to in General Condition 12(b)(i) above, the Substituted Guarantor shall be deemed to be named in the Warrants as the guarantor in place of the Guarantor (or of any previous substitute under these provisions) and the Warrants shall thereupon be deemed to be amended to give effect to the substitution.

  • Upon the execution of the New Guarantee and compliance with the requirements referred to in paragraph (c)(1) of this Condition, the Substituted Guarantor shall be deemed thenceforth to be named in the Notes as guarantor in place of the Guarantor (or of any previous substitute under these provisions), and the Notes shall thereupon be deemed to be amended in such manner as shall be necessary to give effect thereto.

  • Subsidiary Guarantor means, collectively, the Subsidiaries of the Borrower that are Guarantors.

  • Subsidiary Guaranty means, collectively, the Subsidiary Guaranty made by the Subsidiary Guarantors in favor of the Collateral Agent on behalf of the Secured Parties, substantially in the form of Exhibit F-2, together with each other Guaranty and Guaranty supplement delivered pursuant to Section 6.12.

  • Additional Guarantor means a company which becomes an Additional Guarantor in accordance with Clause 25 (Changes to the Obligors).

  • Subsidiary Guarantee means the Guarantee by each Guarantor of the Company's payment obligations under this Indenture and on the Notes, executed pursuant to the provisions of this Indenture.

  • Successor Borrower has the meaning assigned to such term in Section 6.07(a).
