Subordinated Guarantor definition

Subordinated Guarantor means, as of and after the Issue Date, each of Kosmos Energy Operating, Kosmos Energy International, Kosmos Energy Development, Kosmos Energy Ghana HC, Kosmos Energy Equatorial Guinea and Kosmos Energy Finance International.

Subordinated Guarantor means each Subsidiary of the Borrower that guarantees any Indebtedness or other obligations of the Borrower or any Subsidiary of the Borrower under or with respect to any of the New Subordinated Notes.

Subordinated Guarantor means each Domestic Subsidiary and each other Subsidiary which has entered into the Subordinated Guaranty in accordance with this Agreement.

Examples of Subordinated Guarantor in a sentence

• All notices or other communications to the New Subordinated Guarantor shall be given as provided in Section 13.02 of the Indenture.

• The Trustee shall not be responsible in any manner whatsoever for or in respect of the recitals contained herein, all of which recitals are made solely by the Issuer and the New Subordinated Guarantor.

• The New Subordinated Guarantor hereby agrees, jointly and severally with all existing Subordinated Guarantors (if any), to unconditionally guarantee the Issuer’s Obligations under the Securities and the Indenture on the terms and subject to the conditions set forth in Article X and Article XI of the Indenture and to be bound by all other applicable provisions of the Indenture and the Securities and to perform all of the obligations and agreements of a Subordinated Guarantor under the Indenture.

• No right of any holder of Senior Indebtedness to enforce the subordination of Newco Subordinated Guarantor Obligations shall be impaired by any act or failure to act by any Newco Subordinated Guarantor or by its failure to comply with this Agreement.

• Subject to the provisions of the Subordinated Guarantee Intercreditor Agreement, any Shared Collateral Secured Party shall have the right upon any such public sale or sales, and, to the extent permitted by law, upon any such private sale or sales, to purchase the whole or any part of the Pledged Collateral so sold, free of any right or equity of redemption in any Newco Subordinated Guarantor, which right or equity is hereby waived and released.

Subordinated Guarantor and “Subordinated Guarantors” each have the meaning set forth in the preamble to this Guaranty.

Subordinated Guarantor means Willscot Equipment, LLC or any successor thereto.

Subordinated Guarantor means, as determined at any time, a Guarantor that (a) has guaranteed the Notes pursuant to a Subordinated Guarantee, (b) has guaranteed the Senior Secured Obligations pursuant to a Senior Guarantee and (c) is not a Secured Loan Party.

Subordinated Guarantor means Yellow Pages Limited (formerly known as Seamleigh Limited), a limited liability company incorporated in England and Wales with registered number 4175821 and a direct wholly-owned Subsidiary of the Issuer.

Subordinated Guarantor means, as of the date of this Indenture, each of Kosmos Energy Operating, Kosmos Energy International, Kosmos Energy Development, Kosmos Energy Ghana HC, Kosmos Energy Ghana Holdings Limited, Kosmos Energy Equatorial Guinea, Kosmos Energy Finance International and Kosmos Energy Ghana Investments, , subject to Section 13.03, Section 13.06 and Section 13.07.

Subordinated Guarantor means any guarantor of the Junior Debt that is also a guarantor of the Senior Debt.

Subordinated Guarantor shall have the meaning provided in Section 1.01.
