The terms and conditions of the Distribution and Stockholder Servicing Fee (“Distribution Fee”) are subject to the Prospectus as may be amended or supplemented from time to time.
The Broker hereby represents by its acceptance of each payment of the Distribution and Stockholder Servicing Fee that it complies with each of the above requirements and is providing the above-described services.
Each share of Class T Common Stock (other than a share of Class T Common Stock sold pursuant to a distribution reinvestment plan) shall be subject to a Stockholder Servicing Fee as described in the Corporation’s most recent Prospectus for an offering of Class T Common Stock (or, if the Corporation is not then engaged in an offering of Class T Common Stock, then as described in the Corporation’s periodic filings with the Securities and Exchange Commission).
The Stockholder Servicing Fee will accrue daily and be payable to the Dealer Manager on a monthly basis and in accordance with the offering terms and conditions as set forth in the Prospectus.
With respect to the Class S Shares, the Dealer Manager may be entitled to a Stockholder Servicing Fee equal to 0.85% per annum of the aggregate Net Asset Value per Class S Share.
