Dealer Manager. Behringer Securities LP, an Affiliate of the Advisor, or such Person selected by the Board to act as the dealer manager for an Offering.

Dealer Manager. The Dealer Manager shall have no duties, responsibilities or obligations to the Limited Partnership, the General Partner or any Limited Partner as a consequence of its right to receive Commissions, except to the extent provided under the Securities Act of 1933, as amended. The Dealer Manager has not assumed, and will not assume, any responsibility with respect to the Limited Partnership nor will it be permitted by the General Partner to assume any duties, responsibilities or obligations regarding the management, operations or any of the business affairs of the Limited Partnership subsequent to the date on which the Limited Partnership is Activated.
Dealer Manager. Xxxxx National Securities, LLC, or such other Person or entity selected by the Board of Directors to act as the dealer manager for the Offering. Xxxxx National Securities, LLC is a member of the Financial Industry Regulatory Authority.
Dealer Manager. SC Distributors, LLC, an Affiliate of the Advisor, or such Person selected by the Board to act as the dealer manager for an Offering.
Dealer Manager. The Dealer Manager shall pay all costs and expenses incident to the performance of its obligations under this Agreement which are not expressly assumed by the Company under Paragraph 8.2 below.
Dealer Manager. The Parties agree to use their best efforts to cause the Company, subject to approval by the Company’s Board of Directors, to enter into the Dealer Manager Agreement with the Dealer Manager on terms consistent with the “Plan of Distribution” section of the Prospectus.

Dealer-Manager accepts such appointment and agrees to furnish certain related services as set forth in this Agreement.
