Standstill Notice definition

Standstill Notice means a written notice from First Lien Agent or First Lien Co-Agent to Second Lien Agent stating that a First Lien Default has occurred and is continuing and stating that it is a "Standstill Notice".
Standstill Notice means a written notice from ABL Agent to Term Loan Agent or from Term Loan Agent to ABL Agent, as applicable, identified by its terms as a “Standstill Notice” for purposes of this Agreement and stating that an ABL Default or Term Loan Default, as applicable, has occurred and is continuing.
Standstill Notice means a written notice from Second Lien Trustee to First Lien Agent stating that a Second Lien Default has occurred and is continuing and that, as a consequence thereof, Second Lien Trustee has accelerated the Second Lien Obligations.

More Definitions of Standstill Notice

Standstill Notice means a written notice from or on behalf of Senior Agent to the Collateral Agent stating that an Event of Default has occurred and stating that such written notice is a "Standstill Notice".
Standstill Notice means a notice delivered by the Trustee pursuant to clause (b) of Section 6.02 (Payment Blockage Provisions) hereof, to the Security Trustee (with a copy to the Issuer, the Junior Note Trustee and the New Bonding Facility Security Trustee) notifying the Security Trustee of a Standstill Event.
Standstill Notice means a written notice from any Second Lien Creditor to First Lien Creditor identified by its terms as a “Standstill Notice” for purposes of this Agreement stating one or more of the following: (a) a Second Lien Default has occurred and is continuing and that, as a consequence thereof, such Second Lien Creditor has accelerated the Second Lien Obligations, (b) a Second Lien Default resulting from the failure to pay (i) regularly scheduled interest or (ii) any mandatory prepayment, in either case, that is required to be paid pursuant to the terms of any Second Lien Credit Agreement (as in effect on the date hereof or as amended as permitted hereby) has occurred and is continuing, or (c) a Second Lien Default resulting from the breach by the Debtor of any other covenant of any Second Lien Credit Agreement (as in effect on the date hereof or as amended as permitted hereby) or any other Second Lien Document.
Standstill Notice shall have the meaning set forth in paragraph 8.04(d) below.
