SPV Register shall have the meaning assigned to such term in Section 9.04(i). “Statutory Reserves” shall mean a fraction (expressed as a decimal), the numerator of which is the number one and the denominator of which is the number one minus the aggregate of the maximum reserve percentages (including any marginal, special, emergency or supplemental reserves) expressed as a decimal established by the Board and any other banking authority, domestic or foreign, to which the Administrative Agent or any Lender (including any branch, Affiliate or other fronting office making or holding a Loan) is subject for Eurocurrency Liabilities (as defined in Regulation D). Eurodollar Loans shall be deemed to constitute Eurocurrency Liabilities (as defined in Regulation D) and to be subject to such reserve requirements without benefit of or credit for proration, exemptions or offsets that may be available from time to time to any Lender under Regulation D. Statutory Reserves shall be adjusted automatically on and as of the effective date of any change in any reserve percentage.

Examples of SPV Register in a sentence

  • The entries in the SPV Register shall be conclusive, and such Granting Lender, the Company and the Administrative Agent shall treat each person whose name is recorded in the SPV Register pursuant to the terms hereof as the owner of the relevant Loan or portion thereof for all purposes of this Agreement, notwithstanding notice to the contrary.

  • Any participation of such Registered Loan and any assignment to a SPV (and any registered note, if any, evidencing the same shall expressly so provide) may be effected only by the registration of such participation or assignment on the Participant Register or SPV Register.

  • Information contained in the Register, the Related Party Register, the SPV Register, the Participant Register and the records maintained pursuant to Section 2.14(b) with respect to any Lender, participant, SPV or any L/C Issuer shall be available for access by the Borrower, the Administrative Agent, such Lender or such L/C Issuer at any reasonable time and from time to time upon reasonable prior notice.

  • Notwithstanding anything to the contrary contained in this Agreement, the Loans (including any Notes evidencing such Loans) are registered obligations (each a "Registered Loan"), the right, title and interest of the Lenders and their assignees in and to such Loans shall be transferable only upon notation of such transfer in the Register, the SPV Register, or the Related Party Register (whichever is applicable) and no assignment thereof shall be effective until recorded therein.

  • Information contained in the Register, the Related Party Register, the SPV Register, the Participant Register and the records maintained pursuant to Section 2.14(b) with respect to any Lender, participant or SPV shall be available for access by the Borrower, the Administrative Agent or such Lender at any reasonable time and from time to time upon reasonable prior notice.

  • For the avoidance of doubt, the Administrative Agent (in its capacity as Administrative Agent) shall have no responsibility for maintaining a Participation and SPV Register.

Related to SPV Register

  • PPS Register means the Personal Property Securities Register established under the PPSA;

  • Trust Register and “Trust Registrar” have the meanings stated in Section 3.2 of the Trust Agreement.

  • Public Register means the College’s register that is available to the public.

  • National Register has the same meaning as in section 3 of the National Act. National RTO Standards means the Standards for Registered Training Organisations (RTOs) 2015 (Cth) and its User Guide.

  • Loan Register Defined in Section 5.4(n).

  • Rights Register shall have the meaning ascribed thereto in Subsection 2.6(a);

  • Central Register has the meaning specified in Section 3.05.

  • Submittal Register means a list provided by Contractor of all items to be furnished for review and approval by A/E and Owner and as identified in the Contract Documents including anticipated sequence and submittal dates.

  • Share Register means the register of Holders maintained on behalf of the Trust by the Auction Agent in its capacity as transfer agent and registrar for the APS.

  • International Register means the official collection of data concerning international registrations maintained by the International Bureau, which data the Agreement, the Protocol or the Regulations require or permit to be recorded, irrespective of the medium in which such data are stored;

  • CVR Register has the meaning set forth in Section 2.3(b).

  • Note Register shall have the meaning assigned to such term in Section 15.

  • Security Register and “Security Registrar” have the respective meanings specified in Section 305.

  • Lender Register has the meaning provided in Section 2.08(b).

  • Land Register means the Land Register compiled under Division 2 of Part II of the Registered Land Law (2004 Revision);

  • Certificate Register The register maintained pursuant to Section 5.02.
