Examples of Specified Letters of Credit in a sentence
The Assignor hereby agrees (i) that the Assignee has sole right to give instructions and make agreements, if applicable, with respect to the Specified Letters of Credit and the disposition of documents, and (ii) the Assignor has no right or claim against any Issuing Lender, any of its affiliates or subsidiaries, or any correspondent in respect of any matter arising in connection with any of the foregoing.
Notwithstanding anything to the contrary in the foregoing or Section 6.02(d), the Existing Specified Letters of Credit shall be deemed to have been issued hereunder as “Letters of Credit”.
On and after the Effective Date, the rights and obligations of the Assignee, with respect to the Specified Letters of Credit, shall be governed by the Credit Agreement and the other Credit Documents.
The Lenders acknowledge that the First Lien Loans, First Lien Specified Letters of Credit, First Lien Specified Swap Agreements and First Lien Specified Cash Management Agreements and related obligations are secured by the Collateral, subject to the Intercreditor Agreement, and that the First Lien Obligations may be increased from time to time, including pursuant to the First Lien Incremental Facility or by amendment.
The Borrower shall use commercially reasonable efforts, to the extent practicable, to cause the Letters of Credit (other than the Specified Letters of Credit) to be issued by the Issuing Lenders on a proportionate basis in accordance with their proportionate share of the Letter of Credit Commitments.
