Special Claims definition

Special Claims means (i) any breach by Ironclad of Section 2(e) (Customer Data), Section 2(f) (Information Security), or Section 5 (Confidentiality) resulting in unauthorized disclosure and misuse of Customer Data; or (ii) any amounts payable to third parties pursuant to Ironclad’s Data Indemnity obligations under Section 8(a)(ii). For any and all Special Claims, Ironclad’s aggregate liability shall be subject to an enhanced liability cap not to exceed ten times (10x) the amount paid by Customer to Ironclad during the twelve months prior to the event giving rise to liability (the “Enhanced Liability Cap”).

Examples of Special Claims in a sentence

  • CSP funds should be deposited into the project’s general operating account (account 1120 on the Balance Sheet) and recorded as Special Claims Revenue (account 5193).

Special Claims means (A) claims based upon a breach of any representation or warranty of the Inso Subs or the Company contained in Section 8.01(b), (B) claims based upon fraud by the Inso Subs or the Company, (C) claims based upon intentional misrepresentations by any of Xxxxxxxxxxx X. Xxxxx, Xxxxx X. Xxxx, Xxxxxxx X. Xxxxxx or Xxxxxxxx X. Xxxxxx, and (D) claims based upon a breach of any representation or warranty of the Inso Subs or the Company pertaining to taxes or other breaches of Section 8.01(s).
