Intellectual Property Claims. Borrower is the sole owner of, or otherwise has the right to use, the Intellectual Property. Except as described on Schedule 5.9,(i) each of the material Copyrights, Trademarks and Patents is valid and enforceable, (ii) no material part of the Intellectual Property has been judged invalid or unenforceable, in whole or in part, and (iii) no claim has been made to Borrower that any material part of the Intellectual Property violates the rights of any third party. Exhibit D is a true, correct and complete list of each of Borrower’s Patents, registered Trademarks, registered Copyrights, and material agreements under which Borrower licenses Intellectual Property from third parties (other than shrink-wrap software licenses), together with application or registration numbers, as applicable, owned by Borrower or any Subsidiary, in each case as of the Closing Date. Borrower is not in material breach of, nor has Borrower failed to perform any material obligations under, any of the foregoing contracts, licenses or agreements and, to Borrower’s knowledge, no third party to any such contract, license or agreement is in material breach thereof or has failed to perform any material obligations thereunder.

Exhibit C (and as may be updated by Borrower in a written notice provided from time to time after the Closing Date) is a true, correct and complete list of each of Borrower’s registered Patents and filed Patent applications, registered Trademarks, registered Copyrights, and Material Agreements under which Borrower licenses Intellectual Property from third parties (other than shrink-wrap software licenses, licenses that are commercially available to the public, open source licenses, licenses disclosed in writing to Agent as required under this Agreement and immaterial Intellectual Property licensed to Borrower in the ordinary course of business), together with application or registration numbers, as applicable, owned by Borrower or any Subsidiary, in each case as of the Closing Date. Borrower is not in material breach of, nor has Borrower failed to perform any material obligations under, any of the foregoing contracts, licenses or agreements and, to Borrower’s knowledge, no third party to any such contract, license or agreement is in material breach thereof or has failed to perform any material obligations thereunder.

Borrower is not in material breach of, nor has Borrower failed to perform any material obligations under, any of the foregoing contracts, licenses or agreements and, to Borrower’s knowledge, no third party to any such contract, license or agreement is in material breach thereof or has failed to perform any material obligations thereunder.
Intellectual Property Claims. Sun will defend or settle at its option and expense any legal proceeding brought against Customer, to the extent that it is based on a claim that the use of the replacement parts, software updates, maintenance releases, patches and/or SunSolve knowledge database (“Materials”) provided to Customer by Sun infringe a trade secret, copyright, trademark, or a U.S. patent. Sun will pay all damages and costs awarded by a court of final appeal attributable to such claim, provided that Customer: (i) gives written notice of the claim promptly to Sun; (ii) gives Sun sole control of the defense and settlement of the claim; (iii) provides to Sun all available information and assistance; and (iv) has not compromised or settled such claim. If any Materials are found to infringe, Sun will: (i) obtain for Customer the right to use such Materials; (ii) replace or modify such Materials so that they become non-infringing; or if neither of these alternatives is reasonably available, (iii) remove such Materials and refund Customer’s net book value for these Materials. Sun has no obligation under this Section 11 for any claim which results from: (i) use of Materials in combination with any equipment, software or data not provided by Sun; (ii) Sun’s compliance with designs or specifications of Customer; (iii) modification of Materials other than at Sun’s directions; or (iv) use of an allegedly infringing version of any Materials, if the alleged infringement could be avoided by the use of a different version made available to Customer. THIS SECTION 11 STATES THE ENTIRE LIABILITY OF SUN AND THE EXCLUSIVE REMEDIES OF CUSTOMER FOR CLAIMS OF INFRINGEMENT.

Intellectual Property Claims. Subject to Section 10 herein, XXXXX will indemnify and hold you harmless against any damages resulting from use of the PROGRAM finally awarded against you pursuant to a judicial proceeding, to the extent such proceeding is based upon an infringement of any valid U.S. or Canadian patent issued prior to the date you receive the PROGRAM from SIMBA, or any valid U.S. or Canadian copyright by the PROGRAM, provided that you: (i) give written notice of the claim promptly and within thirty (30) days to SIMBA; (ii) give SIMBA sole control of the defense and settlement of the claim; (iii) provide to SIMBA all available information and assistance; and (iv) have not compromised or settled such claim. If the PROGRAM is found to infringe or in XXXXX's opinion is likely to infringe, SIMBA may at its sole discretion elect to: (i) obtain for you the right to use the PROGRAM; (ii) replace or modify the PROGRAM so that it is non-infringing; or (iii) remove the PROGRAM and refund to you your net book value for the PROGRAM. SIMBA will have no obligation under this Section 9 for any claims which result from: (i) use of the PROGRAM in combination with any non-SIMBA provided software (including any portion of the PROGRAM not authored by XXXXX); (ii) SIMBA's compliance with your designs or specifications; (iii) modification of the PROGRAM by you or anyone other than SIMBA; or (iv) use of an allegedly infringing version of the PROGRAM, if the alleged infringement could be avoided by the use of a different version made available to you by XXXXX. This Section 11 sets forth the entire liability of SIMBA and your exclusive remedies for claims of infringement involving the PROGRAM.

Borrower is not in breach of, nor has Borrower failed to perform any obligations under, any of the foregoing contracts, licenses or agreements, except as could not reasonably be expected to result, individually or in the aggregate, in a Material Adverse Effect and, to Borrower’s knowledge, no third party to any such contract, license or agreement is in breach thereof or has failed to perform any obligations thereunder, except as could not reasonably be expected to result, individually or in the aggregate, in a Material Adverse Effect.

Exhibit D is a true, correct and complete list of each of Borrower’s Patents, registered Trademarks, registered Copyrights, and material agreements under which Borrower licenses intellectual property from third parties (other than shrink-wrap software licenses and other licenses for over-the-counter software), together with application or registration numbers, as applicable, owned by Borrower or any Subsidiary, in each case as of the Closing Date.
