In the event of a major computer software system change to the Subservicer’s primary servicing system, the parties will agree to waive the Excessive SLA Failure Trigger Event and the Excessive SLA Failure Trigger for a period of six (6) calendar months from the date that such system change was implemented; provided that the Subservicer provided at least ninety (90) days’ notice to the Owner/Servicer of such system change.

Except to the extent an SLA Failure constitutes a Product Termination Event, Seller expressly limits its liability to Buyer for any SLA Failure to the liquidated damages set forth in this Article 4.
If Buyer fails to notify Seller within such twenty-four (24) hour period, Buyer shall not be entitled to any Credits for the period from the day on which such SLA Failure commenced until the day immediately preceding the day on which Buyer notifies Seller of such SLA Failure, provided that the SLA Failure is still in effect.
If the report demonstrates failure by VIPRE to achieve the monthly Target Level, a SLA Failure will have occurred and VIPRE will provide Customer with a service credit according to Section 6 below.
In the event that (a) Seller fails to comply with its obligations and under this clause (i), and (b) such failure continues after receipt of a written request therefor or a written notice thereof, as applicable, from Buyer, and (c) results in an SLA Failure or a Product Termination Event, Buyer shall be entitled to the applicable remedies under Article 4 or Section 5.3, as applicable, in respect thereof.
Credits provided by VIPRE are not cumulative, and Customer is entitled to only one credit per SLA Failure.
