Milestone Failure means a failure by the Grant Recipient fully to achieve any Milestone by the relevant Milestone Date;

Upon each Milestone Failure Date, the Conversion Price in effect on such Milestone Failure Date shall, at the election of the Registered Holder, be decreased to the VWAP for the five (5) Trading Days immediately following such Milestone Failure Date multiplied by the Designated Discount Rate applicable to such Milestone Failure as set forth in the Milestone table below.

More Definitions of Milestone Failure
