Share Limit definition

Share Limit means the maximum aggregate number of Shares that are permitted to be issued under the Plan as described in Section 5(a).
Share Limit means the maximum number of Shares, as adjusted, that may be delivered pursuant to all awards granted under this Plan.
Share Limit means, at the time of the Determination, 3,017,700, subject to adjustment as follows: In the event that the Corporation shall on or after January 20, 1997 (i) declare a dividend or make a distribution on Common Stock payable in shares of its capital stock (whether shares of Common Stock or of capital stock of any other class) and set a record date for such dividend or distribution as a date prior to the date on which the Corporation receives the Determination, (ii) subdivide outstanding shares of Common Stock into a greater number of shares, (iii) combine outstanding shares of Common Stock into a smaller number of shares, or (iv) issue any shares of its capital stock by reclassification of Common Stock (including any such reclassification in connection with a consolidation or merger in which the Corporation is the continuing Corporation), then the Share Limit in effect immediately prior to such event shall automatically be adjusted immediately after the record date, in the case of such a dividend or distribution, or the effective date, in the case of such a subdivision, combination or reclassification, to be such aggregate number of shares of Common Stock that a holder of a number of shares of Common Stock equal to the Share Limit in effect immediately prior to such event, would have been entitled to receive by virtue of such dividend, distribution, subdivision, combination or reclassification.

Examples of Share Limit in a sentence

  • Substitute Awards will not count against the Overall Share Limit (nor shall Shares subject to a Substitute Award be added to the Shares available for Awards under the Plan as provided under Section 5.2 above), except that Shares acquired by exercise of substitute Incentive Stock Options will count against the maximum number of Shares that may be issued pursuant to the exercise of Incentive Stock Options under the Plan.

  • Substitute Awards shall not be counted against the Absolute Share Limit; provided, that Substitute Awards issued in connection with the assumption of, or in substitution for, outstanding Options intended to qualify as “incentive stock options” within the meaning of Section 422 of the Code shall be counted against the aggregate number of shares of Common Stock available for Awards of Incentive Stock Options under the Plan.

  • The payment of Dividend Equivalents in cash in conjunction with any outstanding Awards shall not count against the Overall Share Limit.

  • Subject to adjustment under Article IX and the terms of this Article V, Awards may be made under the Plan covering up to the Overall Share Limit.

  • Subject to adjustment under Article VIII and the terms of this Article IV, Awards may be made under the Plan covering up to the Overall Share Limit.

Share Limit means the limit on the total number of Shares available for issuance under this Plan described in Section 3.
