Service Provider Indemnified Parties definition

Service Provider Indemnified Parties means Service Provider and its Affiliates and its and their contractors and subcontractors, and its and their employees, officers, directors, shareholders, partners, owners, members, managers, agents and representatives.

• Nothing in this Agreement shall confer any rights upon any Person (including, without limitation, including the Serviced Entities and their respective stockholders) other than the parties hereto, their successors and permitted assigns, the Company Indemnified Parties and the Service Provider Indemnified Parties.

• The maximum amount of the aggregate liability of the Service Provider Indemnified Parties pursuant to this Agreement will be equal to the amounts previously paid in respect of Services pursuant to this Agreement or any agreement or arrangement contemplated by this Agreement in the two most recent calendar years by the Service Recipients pursuant to Article 7.

• All such insurance shall provide that to the extent of the procuring Party’s assumed obligations under this Agreement, such procuring Party’s insurers waive their right of subrogation against the other Party (and the Company Indemnified Parties or the Service Provider Indemnified Parties, as applicable).

• LIPA agrees to waive and to cause the insurance companies providing any Required Operating Period Insurance to waive subrogation rights it or they may have under any Required Operating Period Insurance policies with respect to claims against the Service Provider Indemnified Parties.

• Except for the WG Indemnified Parties and Service Provider Indemnified Parties to the extent provided in Article 19, this Agreement shall not be deemed to create any obligations of a Party to any such third party or create any rights in third parties, including employees, suppliers, or customers of a Party.

• Except for XXXX, the Service Provider Indemnified Parties and the Company Indemnified Parties, nothing herein expressed or implied is intended or shall be construed to confer upon or give to any person or corporation other than the parties hereto and their successors or assigns, any rights or remedies under or by reason of this Agreement.
