Examples of Company Indemnified Persons in a sentence
In connection therewith Acquiror shall advance expenses to the Company Indemnified Persons as incurred to the fullest extent provided for under the Company Indemnification Provisions, provided the person to whom expenses are advanced provides an undertaking to repay such advances if it is ultimately determined that such person is not entitled to indemnification pursuant to the terms of the Company Indemnification Provisions or under Applicable Law.
The Acquirer agrees with the Company (in its own right and separately as trustee or nominee on behalf of each of the other Company Indemnified Persons) to indemnify the Company Indemnified Persons from any claim, action, damages, loss, liability, cost, expense or payment of whatever nature and however arising which the Company or any of the other Company Indemnified Persons suffers, incurs or is liable for arising out of any breach of any of the Acquirer Warranties or Acquirer Undertakings.
The indemnification provisions set forth herein shall be in addition to any liability that the Company or any Holder may otherwise have to the Investor Indemnified Persons, the Company Indemnified Persons or the other Persons entitled to indemnification hereunder.
Mercury agrees with the Company (in its own right and separately as trustee or nominee on behalf of each of the other Company Indemnified Persons) to indemnify the Company Indemnified Persons from any claim, action, damages, loss, liability, cost, expense or payment of whatever nature and however arising which the Company or any of the other Company Indemnified Persons suffers, incurs or is liable for arising out of any breach of any of the Mercury Warranties or Mercury Undertakings.
This Agreement shall not confer any rights or remedies upon any Person other than the Parties and, to the extent expressly set forth herein, their Affiliates, the Indemnitees, the Navistar Indemnified Persons, the Caterpillar Indemnified Persons, and the Company Indemnified Persons, and all of their respective successors and permitted assigns.
