Series Unit Value definition

Series Unit Value means, in respect of any particular Series of a Fund, the portion of the Net Asset Value of the Fund attributable to such Series determined from time to time in the manner set out in this Master Declaration of Trust;
Series Unit Value means the net asset value per Unit of a given Series of Units of the Fund determined in accordance with Article 3;

Examples of Series Unit Value in a sentence

  • Additional amounts may be paid in by the original and other Participants admitted to a Fund by the Trustee in accordance with the provisions hereof and Units shall be issued to such Participants at the then applicable Series Unit Value.

  • Subject as hereinafter provided, the Trustee may agree with a Participant (an “Eligible Participant”) to reduce the management fee otherwise payable by the Fund to the Trustee, to the extent attributable to the Series Unit Value of Units owned by the Eligible Participant, on condition that an amount equal to such reduction be paid by the Fund to the Eligible Participant.

  • On each Valuation Date, the Trustee shall determine, in respect of a Fund, the net asset value of the Fund, the net asset value of each Series of the Fund and the Series Unit Value of each Series of Units of the Fund as at the Valuation Time on such Valuation Date.

  • Upon the establishment of a Fund, the Trustee shall issue to each original Participant a number of Units proportionate to the amount paid by such Participant into the Fund and based on an initial Series Unit Value of $10.00 or such other initial Series Unit Value as may be specified in the Regulation pertaining to the Fund.

  • Subject to the requirements determined from time to time by the Trustee and stated in the Offering Documents of a Fund, Units of a particular Series of a Fund may, at the option of the holder or the Trustee, be redesignated as Units of any other Series of the Fund based on the applicable Series Unit Value for each of the two Series on the date of the redesignation.

  • The Series Net Asset Value, as thus determined, shall be divided by the number of outstanding Units of the Series of the Fund at the Valuation Time to ascertain the Series Unit Value as of such Valuation Date.

  • The Series Unit Value established at any time and from time to time by or under the authority of the Trustee shall be conclusive and binding upon all Participants in that Series, including former Participants who have withdrawn Units.

  • Any applicable redemption fee, short-term trading fee or other fee shall be deducted from any payment of the Series Unit Value of the Units withdrawn otherwise payable on the withdrawal.

  • Within three (3) Business Days following each Valuation Date of a Fund, the Trustee shall issue to Participants in the Fund whose notices requesting admission have been implemented on such Valuation Date, the Units of the Series subscribed for by them at the Series Unit Value determined hereunder on such Valuation Date and amounts equal to the aggregate Series Unit Value of the Units so issued shall be paid into such Fund.

  • Management Fee Distributions Subject as hereinafter provided, the Trustee may agree with a Participant (an “Eligible Participant”) to reduce the management fee otherwise payable by the Fund to the Trustee, to the extent attributable to the Series Unit Value of Units owned by the Eligible Participant, on condition that an amount equal to such reduction be paid by the Fund to the Eligible Participant.

Related to Series Unit Value

  • Unit Value means, at any time, the value of each Stock Unit, which value shall be equal to the Fair Market Value (as defined in the Plan) of a Share on such date.

  • ACCUMULATION UNIT VALUE means the dollar value of each Accumulation Unit in a Separate Account on a given date. (If Investment Funds apply as described in Section 2.02, then the terms of this Section 2.03 apply separately to each Fund, unless otherwise stated.) Amounts allocated or transferred to a Separate Account are used to purchase Accumulation Units of that Account. Units are redeemed when amounts are deducted, transferred or withdrawn. The number of Accumulation Units in a Separate Account at any time is equal to the number of Accumulation Units purchased minus the number of Units redeemed in that Account up to that time. The number of Accumulation Units purchased or redeemed in a transaction is equal to the dollar amount of the transaction divided by the Account's Accumulation Unit Value for that Transaction Date.

  • Common Stock Price means, as of a particular date, the average of the Fair Market Value of one share of Common Stock over the fifteen (15) consecutive trading days ending on, and including, such date (or, if such date is not a trading day, the most recent trading day immediately preceding such date); provided, however, that if such date is the date upon which a Transactional Change of Control occurs, the Common Stock Price as of such date shall be equal to the fair value, as determined by the Committee, of the total consideration paid or payable in the transaction resulting in the Transactional Change of Control for one share of Common Stock.

  • Common Unit Price has the meaning specified in Section 2.1(b).

  • Class A Common Unit means a Common Unit having the rights and obligations specified with respect to Class A Common Units in this Agreement.

  • Class A Ordinary Share Value means, as of the close of business on the day preceding the date, the volume weighted average trading price of the Class A Ordinary Shares on all trading platforms or trading systems on which the Class A Ordinary Shares are being traded over the forty-five (45) trading days then ended, provided, that if the total aggregate trading volume over such 45-trading-day period is less than 5% of the public float, such period shall be extended to the ninety (90) trading days then ended, provided, further, if the total aggregate trading volume over such 90-trading-day period is less than 5% of the public float, the holder of the Class B Ordinary Shares shall request that the Board obtain an appraisal of the value of the Class A Ordinary Shares from one or more independent nationally-recognized third party appraisal companies and such appraisal shall constitute the Class A Ordinary Share Value.

  • Series A Common Stock means the Series A Common Stock, par value $0.01 per share, of the Company.

  • Class A Common Stock means the Company's Class A Common Stock, par value $.01 per share.

  • Grant Amount or “Grant” means the total amount of financial assistance disbursed under this Agreement, which consists of the City's Amount and the Consultant’s Amount.

  • Class A Common Shares means the Class A common shares of the Company, par value US$0.00001 per share, at the date of this Indenture, subject to Section 14.07.

  • Per Share Value means the average value of the consideration to be received in respect of each outstanding Common Share pursuant to the Qualifying Transaction as determined by mutual agreement of the Independent Directors (as defined in Section 2(b)(i) below) and the holders of a majority in interest of all outstanding warrants to purchase Common Shares containing this provision, or, if they shall fail to agree, by an Investment Bank.

  • Class A Common Units means the Company's Class A Common Units.

  • Applicable Stock Price means, in respect of a Conversion Date, the average of the Closing Sale Prices per share of Common Stock over the five-Trading Day period starting the third Trading Day following such Conversion Date.

  • Common Unit Economic Balance has the meaning set forth in Section 5.01(g) hereof.

  • Per Unit Purchase Price equals $7.05, subject to adjustment for reverse and forward stock splits, stock dividends, stock combinations and other similar transactions of the Common Stock that occur after the date of this Agreement.

  • Early Preference Share Valuation Date means the date specified as such in the relevant Early Preference Share Redemption Notice which shall fall not less than one day and not more than 180 days following the day such Early Preference Share Redemption Notice is given. The Early Preference Share Redemption Notice may provide that such date is subject to adjustment in accordance with certain disruption or adjustment events, as determined by the Calculation Agent.

  • Class B Ordinary Share means an Ordinary Share of a par value of US$0.0001 in the capital of the Company, designated as a Class B Ordinary Share and having the rights provided for in these Articles;

  • Parent Class A Common Stock means the Class A Common Stock, par value $0.01 per share, of Parent.

  • Adjusted Value as used in subdivision (d) means:

  • Stock Price shall have the meaning specified in Section 14.03(c).

  • Award Value means the value, in dollars, of an award made to a Participant and as stated in the applicable Award Agreement, which is provided under the Plan in the form of PSUs or RSUs, as the case may be.

  • Share Dilution Amount means the increase in the number of diluted shares outstanding (determined in accordance with GAAP applied on a consistent basis, and as measured from the date of the Issuer’s most recent consolidated financial statements prior to the Signing Date) resulting from the grant, vesting or exercise of equity-based compensation to employees and equitably adjusted for any stock split, stock dividend, reverse stock split, reclassification or similar transaction.

  • Ending Stock Price means the average of the closing prices of the Common Stock or the shares of the Peer Group, as applicable, for the 20 trading days up to and including (if a trading day) the last day of the Performance Period.

  • Early Preference Share Redemption Amount means, subject to the provisions of the Articles and the Conditions, in respect of each Preference Share, an amount expressed in the Settlement Currency calculated by the Calculation Agent as the fair market value (calculated without taking into account the creditworthiness of the Company) of a Preference Share as of the Early Preference Share Valuation Date taking into account such factor(s) as the Calculation Agent determines appropriate, including, but not limited to, the relevant Early Preference Share Redemption Event after deducting any Associated Costs (to the extent not already reflected in such fair market value).

  • Share Value means $25.00 plus declared and unpaid dividends as at the date of the Trigger Event.
