Series F Redemption definition

Series F Redemption shall have the meaning set forth in Section 19.5.A.
Series F Redemption means a “Redemption”, as such term is defined in the Series F Certificate of Designations.

Examples of Series F Redemption in a sentence

  • The Series F Repurchasers shall redeem all of the Series F Redeemed Shares that the Series F Redemption Parties propose to be redeemed and pay the full amount of the Series F Redemption Price within three (3) months after receipt of the Series F Redemption Notice.

  • For the avoidance of doubt, only if the Series F Redemption Price is the same cause of action that triggers the compensation or indemnification from the Company and the Founder to the Series F Redemption Party, such compensation or indemnification should be deducted from the Series F Redemption Price.

  • The Contractor shall be solely responsible for all VAT (aside from VAT imposed by the State of Israel – see Section 28 below), sales or purchase taxes, excise taxes, other taxes, customs duties, imposts, fees, or other charges or payments of any kind which it may be required to pay if its proposal is selected, whether imposed by the State of Israel or otherwise.

  • At any time after the occurrence of any of the Series F Redemption Events, any of the Series F Redemption Parties may deliver a written notice to any of the Series F Repurchasers (the “Series F Redemption Notice”), requesting such Series F Repurchasers to redeem all or any of the outstanding Series F Preferred Shares held by such Series F Redemption Party (the “Series F Redeemed Shares”) at the Series F Redemption Price (as defined below) (the “Series F Redemption Right”).

  • So long as the Series F Preferred Units to be redeemed are held of record by the Depositary or the nominee of the Depositary, the Series F Redemption Price shall be paid by the Paying Agent to the Depositary on the Series F Redemption Date.

  • The balance of any moneys deposited by the Corporation pursuant to this Section (5)(a)(iv) remaining unclaimed at the expiration of two years following the applicable Series F Redemption Date shall thereafter be returned to the Corporation upon its request expressed in a resolution of its Board of Directors.

  • At any time thereafter when additional funds of the Corporation are legally available for the redemption of shares of Preferred Stock, such funds will immediately be used to redeem the balance of the shares which the Corporation has become obligated to redeem on the Redemption Date but which it has not redeemed at the Series F Redemption Price or the applicable Junior Preferred Redemption Price, as applicable, together with any accrued interest thereon as provided below.

  • On such Redemption Date, each holder of shares of Preferred Stock shall surrender the certificate evidencing such shares to the Corporation and shall thereupon be entitled to receive payment of, as applicable, the Series F Redemption Price or the applicable Junior Preferred Redemption Price.

  • Series F Investors shall have the right to request the un-redeemed Series F Preferred Shares to be redeemed as soon as possible when the Repurchaser has sufficient funds to pay the full amount of the Series F Redemption Price for each un-redeemed Series F Preferred Shares.

  • At any time thereafter when additional funds of the Corporation are legally available for the redemption of shares of Series F Preferred Stock, such funds will immediately be used to redeem the balance of the shares that the Corporation has become obliged to redeem on such Series F Redemption Date but that it has not redeemed.

Related to Series F Redemption

  • Series A Redemption Date has the meaning set forth in Section 16.6.

  • Series A Redemption Price has the meaning set forth in Section 16.6(a).

  • Term Redemption Date means, with respect to any Series, the date specified as the Term Redemption Date in the Appendix for such Series.

  • Series A Redemption Notice has the meaning set forth in Section 16.6(b).

  • Note Redemption Price means, for the Redemption Date, an amount equal to the sum of:

  • Special Redemption has the meaning set forth in Section 15.1.A hereof.

  • Note Redemption Date means, with respect to any Notes to be redeemed under the Indenture, the date fixed for redemption of such Notes under the Indenture.

  • Tax Redemption The meaning specified in Section 9.3(a) hereof.

  • Special Redemption Price has the meaning set forth in paragraph 4(a) of Annex I.

  • Triggering Redemption Amount means, for each share of Preferred Stock, the sum of (a) the greater of (i) 130% of the Stated Value and (ii) the product of (y) the VWAP on the Trading Day immediately preceding the date of the Triggering Event and (z) the Stated Value divided by the then Conversion Price, (b) all accrued but unpaid dividends thereon and (c) all liquidated damages and other costs, expenses or amounts due in respect of the Preferred Stock.

  • Optional Redemption shall have the meaning set forth in Section 6(a).

  • Special Redemption Date has the meaning set forth in Section 10.2.

  • Tax Redemption Date shall have the meaning specified in Section 16.02(a).

  • Debenture Redemption Date means, with respect to any Debentures to be redeemed under the Indenture, the date fixed for redemption under the Indenture.

  • Indenture Redemption Price has the meaning specified in Section 4.2(c).

  • Special Redemption and Liquidation Period shall be as set forth in the Prospectus under "Summary of Essential Information."

  • Notice of Redemption means the Notice of Exercise of Redemption Right substantially in the form attached as Exhibit B hereto.

  • Optional Redemption Price shall have the meaning set forth in Section 3.2.

  • Special Event Redemption Price has the meaning specified in Section 11.2.

  • Optional Redemption Date shall have the meaning set forth in Section 6(a).

  • Optional Redemption Amount means the sum of (a) 120% of the then outstanding principal amount of the Debenture, (b) accrued but unpaid interest and (c) all liquidated damages and other amounts due in respect of the Debenture.

  • Final Redemption Date means for each Series, the final redemption date specified in the Final Terms for such Series.

  • Gross Redemption Yield means, with respect to a security, the gross redemption yield on such security, expressed as a percentage and calculated by the Financial Adviser on the basis set out by the UK Debt Management Office in the paper “Formulae for Calculating Gilt Prices from Yields”, page 4, Section One: Price/Yield Formulae “Conventional Gilts/Double dated and Updated Gilts with Assumed (or Actual) Redemption on a Quasi-Coupon Date” (published 8 June 1998, as amended or updated from time to time) on a semi-annual compounding basis (converted to an annualised yield and rounded up (if necessary) to four decimal places) or on such other basis as the Trustee may approve;

  • Monthly Redemption means the redemption of this Debenture pursuant to Section 6(b) hereof.

  • Make-Whole Redemption Price means the sum of the outstanding principal amount of the Notes to be redeemed plus the Make-Whole Amount of such Notes. Calculation or verification of the calculation of the Make-Whole Redemption Price is not the responsibility of the Trustee and the Trustee may conclusively rely on an Officers’ Certificate with respect thereto without investigation.
