Selling Investors definition

Selling Investors means the Holders selling Registrable Securities pursuant to a Registration Statement under this Agreement.

Selling Investors has the meaning set forth in Section 2.1 hereof.

Examples of Selling Investors in a sentence

• The Selling Investor(s) shall provide additional information with respect to the proposed Transfer as reasonably requested by the Other Investors.

• In the event that the terms and/or conditions set forth in the Tag-Along Notice are thereafter amended in any respect, the Selling Investor(s) shall give written notice (an “Amended Tag-Along Notice”) of the amended terms and conditions of the proposed Transfer to each Other Investor.

• If the Majority Investors elect to exercise their rights under this Section 4.2, the Prospective Selling Investors shall furnish a written notice (the “Drag Along Notice”) to each other holder of Shares.

• The Prospective Selling Investors shall attempt to obtain the inclusion in the proposed Sale of the entire number of Shares which each of the Tag Along Sellers requested to have included in the Sale (as evidenced in the case of the Prospective Selling Investors by the Tag Along Notice and in the case of each Participating Seller by such Participating Seller’s Tag Along Offer).

• The obligations, if any, of the Selling Investors to contribute as provided in this subsection (d) are not joint but are several in proportion to the relative value of their respective Registrable Securities covered by such registration statement.

Selling Investors has the meaning given in Clause 3.2.1.

Selling Investors means the Holders selling Registrable Securities pursuant to a Registration Statement under this Agreement. “Selling Investors’ Counsel” shall have the meaning set forth in Section 4.1(b).
