This Consent Decree shall not be construed to impede the transfer of any Ownership Interest between Kentucky Utilities and any Third Party Purchaser so long as the requirements of this Consent Decree are met.

The notice must state the name of the party (the "Third Party Purchaser") to whom the Seller wishes to sell or transfer the Offered Units and the terms of the proposed sale or transfer.
