Self-Management Conditions definition

Self-Management Conditions shall have the meaning set forth in the Mortgage Loan Agreement.
Self-Management Conditions means that (i) either (a) the individuals who supervise the applicable Permitted Self-Management Properties for or on behalf of Borrower have substantially the same (or more) experience supervising and/or managing similar facilities as the individuals doing so on behalf of Borrower as of the Closing Date or (b) Borrower shall have engaged a Person meeting the definition of a Qualified Manager pursuant to clause (a), (c), (d) or (e) of the definition thereof to perform asset management or asset advisory functions with respect to such Permitted Self-Management Properties and (ii) the reporting with respect to such Permitted Self-Management Properties by Borrower is substantially similar to the reporting produced by Manager with respect to the Properties managed by Manager.

Related to Self-Management Conditions

  • Environmental Management Framework or “EMF” means the framework adopted by the Recipient through its Ministry of Planning and Investment’s Decision No 116/QD-BKH dated January 22, 2010 and referred to in the paragraph 2 of Section I.C of Schedule 2 to this Agreement, which sets out the environmental protection measures in respect of the Project, as well as administrative and monitoring arrangements to ensue the implementation of said framework, as said Environmental Management Framework may be revised from time to time with the prior concurrence of the Association.

  • Environmental Management System means an environmental management system or plan of management to address all environmental risks and to ensure compliance with all Environmental Laws and licences;

  • Replacement Management Agreement means, collectively, (a) either (i) a management agreement with a Qualified Manager substantially in the same form and substance as the Management Agreement, or (ii) a management agreement with a Qualified Manager, which management agreement shall be reasonably acceptable to Lender in form and substance, provided, with respect to this subclause (ii), Lender, at its option, may require that Borrower shall have obtained prior written confirmation from the applicable Rating Agencies that such management agreement will not cause a downgrade, withdrawal or qualification of the then current rating of the Securities or any class thereof and (b) an assignment of management agreement and subordination of management fees substantially in the form then used by Lender (or of such other form and substance reasonably acceptable to Lender), executed and delivered to Lender by Borrower and such Qualified Manager at Borrower’s expense.

  • Emergency management means lessening the effects of, preparations for, operations during, and recovery from natural, technological or human-caused disasters. These actions are broad in scope and include, but are not limited to: disaster plans, mitigation, preparedness, response, warning, emergency operations, training, exercising, research, rehabilitation, and recovery activities.

  • Existing Management Agreement means that certain management agreement between the Seller and the Existing Manager for the operation and management of the Hotel.

  • Collateral Management Agreement The agreement dated as of the Closing Date, between the Issuer and the Collateral Manager relating to the management of the Collateral Obligations and the other Assets by the Collateral Manager on behalf of the Issuer, as amended from time to time in accordance with the terms thereof.

  • Management System means an integrated set of interrelated and documented elements to prevent, control and improve the performance of a facility or group of facilities related to industrial safety, operational safety and environmental protection in the sector which the Contractor shall implement throughout the performance of the Petroleum Activities in compliance with the requirements set forth in Articles 13, 14 and 16 of the Law of the National Agency for Industrial Safety and Environmental Protection of the Hydrocarbons Sector and the other Applicable Laws.

  • Property management system means the Contractor’s system or systems for managing and controlling Government property.

  • Investment Management Agreement means the Investment Management Agreement, dated as of the date hereof, by and between the Investment Manager and the Borrower.

  • Management Arrangements means the arrangements for the strategic management of the relationship between the Authority and the Contractor, including arrangements for monitoring of the Contractor’s compliance with the Specification, the Service Levels, the Award Procedures and the terms of this Framework Agreement, set out in Schedule 4.

  • Sponsor Management Agreement means the management agreement between certain of the management companies associated with the Investors and the Issuer.
