Secretary of State Consents means the approval of the Secretary of State to the transactions contemplated by this Agreement and such of the Completion Documents as is appropriate, including the consent of the Secretary of State to the assignment of the Licences relating to the Assets; tax means (a) taxes on income, profits and gains, and (b) all other taxes, levies, duties, imposts, charges and withholdings in the nature of taxation, including any excise, property, value added, sales, transfer, franchise and payroll taxes, PRT, corporation tax, supplementary charge and any national insurance or social security contributions, together with all penalties, charges and interest relating to any of the foregoing or to any late or incorrect return in respect of any of them (and taxation shall be construed accordingly);

  • Delaware LP Act means the Delaware Revised Uniform Limited Partnership Act.

  • Agreement and Plan of Merger has the meaning set forth in the first recital above.
