Secondary Market Transaction definition

Secondary Market Transaction shall have the meaning set forth in Section 11.1 hereof.

  • Subject to any written confidentiality obligation, all information regarding the Company may be furnished, without liability except in the case of gross negligence or willful misconduct, to any the Purchaser and to any Person reasonably deemed necessary by Purchaser in connection with participation in such Secondary Market Transaction.

A Secondary Market Transaction does not include, among other things, any purchase or sale of the Class A Common Stock in connection with the initial issuance or offering of Class A Common Stock in the Corporation’s initial public offering (including the underwritersoption to purchase additional shares) or any reacquisition of Class A Common Stock by the Corporation.
