If all conditions are satisfied, under the Scheme the following will occur on the Implementation Date without any further act or formality, except as otherwise provided:a each Share held on the Record Date by each Scheme Participant will be transferred to MHI Australia; andb in consideration for the transfer of each Share held by a Scheme Participant pursuant to paragraph a, MHI Australia will provide Scheme Participants with the Scheme Consideration.
Upon the Scheme being implemented, each Scheme Participant (other than Ineligible Shareholders) will hold the same proportional investment in MHI Australia as that Scheme Participant had in the Company immediately before the Scheme.

More Definitions of Scheme Participant
