Selected Person definition

Selected Person means (i) any director of the Company, (ii) any Ten-Percent Stockholder, (iii) after the Effective Date, any person who is identified by the Company as an executive officer of the Company or who is advised by the Company's counsel that he or she is subject to the restrictions imposed under Section 16 of the Exchange Act, (iv) any Consultant and (v) any other person designated from time to time by the Compensation Committee as a "Selected Person" for purposes of the Plan.
