Return Payment means any payment received by Regional that is returned unpaid.

  • If the Portfolio Manager does not determine the amount of any Periodic Return Payment prior to the relevant Periodic Return Payment Date, the Issuer will appoint an internationally recognised firm of accountants (acting as experts not arbitrators) to carry out such determination and such determination shall be deemed to have been made by the Portfolio Manager and shall be binding on the Security Holder, the Trustee the Paying Agents and the Issuer.

  • The Portfolio Manager will determine, or procure to be determined, the amount of any Periodic Return, whether a Periodic Return Payment is due and payable, and the amount thereof, promptly following the end of the relevant Accrual Period and will notify the Trustee, the Paying Agents and the Security Holder in accordance with Condition 15 of the results of such determination promptly thereafter and, in any event, prior to the relevant Periodic Return Payment Date.

  • For the purposes of this Condition 5.3, the Periodic Return Payment due on the Securities or part thereof shall be determined as if reference in Condition 4 to “Accrual Period” is reference to the period beginning on (and including) the day following the last day of the preceding Accrual Period or, with respect to the first Accrual Period, the date of incorporation of the Issuer, and ending on (and including) the day falling 30 days prior to the date fixed for redemption of the Securities.
