Required DPC Permits means any Environmental Permit held by DuPont or any Retained Subsidiary and required for the lawful Operation of the DPC Business by the Transferred DPC Companies and their Subsidiaries.

Required DPC Permits means any Environmental Permit held by DuPont or any Retained Subsidiary and required for the lawful Operation of the DPC Business by the Transferred DPC Companies and their Subsidiaries. (b) Transfer or Reissuance of the Required DPC Permits. Except as provided in any lease arrangement among the parties or their Affiliates with respect to any Required DPC Permits that are shared by DuPont and the applicable Transferred DPC Companies and their Subsidiaries, the parties shall continue to use their reasonable best efforts to transfer or, if not transferable, secure the reissuance of any Outstanding Permit to the applicable Transferred DPC Company. With respect to each Outstanding Permit, this obligation shall continue until such permit has been so transferred or reissued or the earliest to occur of the following: (i) the relevant Governmental Authority declines the request to transfer or reissue such permit and reasonable efforts have been made to pursue an administrative appeal of such decision; (ii) such Outstanding Permit is no longer required for the Operation of the DPC Business by the Transferred DPC Company; or (iii) the two (2) year anniversary of the Closing Date.   • Consents, Clearances and Permits means all authorizations, licenses, approvals, registrations, permits, waivers, privileges, acknowledgements, agreements, or concessions required to be obtained from or provided by any concerned authority for the purpose of setting up of the generation facilities and/ or supply of power;

  • Parent Permits has the meaning set forth in Section 4.1.

  • Applicable Permits means all clearances, licences, permits, authorisations, no objection certificates, consents, approvals and exemptions required to be obtained or maintained under Applicable Laws in connection with the construction, operation and maintenance of the Project Highway during the subsistence of this Agreement;

  • Transferred Permits has the meaning set forth in Section 1.1(b).

  • Title V Permit means an operating permit under Title V of the Act.

  • Governmental Permit means any license, franchise, permit or other authorization of any Governmental Authority.

  • Required Filings shall have the meaning specified in the Pledge and Security Agreement.

  • Necessary preconstruction approvals or permits means those permits or approvals required under federal air quality control laws and regulations and those air quality control laws and regulations which are part of the applicable State Implementation Plan.

  • Transferable Permits means those Permits and Environmental Permits identified in Schedule 1.1(173), which may be transferred to Buyer without a filing with, notice to, consent or approval of any Governmental Authority.

  • Material Consents as defined in Section 7.3.

  • Governmental Approval is any consent, authorization, approval, order, license, franchise, permit, certificate, accreditation, registration, filing or notice, of, issued by, from or to, or other act by or in respect of, any Governmental Authority.

  • Applicable Permit means the Kansas Water Pollution Control and National Pollution Discharge Elimination System Stormwater Runoff from Construction Activities General Permit or a project specific stormwater permit issued to KDOT.
