Representations, Warranties, Covenants and Agreements to Survive Delivery. All representations, warranties, covenants and agreements of the Company, the Selling Stockholders and the Underwriters herein or in certificates delivered pursuant hereto, and the indemnity and contribution agreements contained in Section 8 hereof shall remain operative and in full force and effect regardless of any investigation made by or on behalf of any Underwriter or any person controlling any Underwriter within the meaning of the Act or the Exchange Act, or by or on behalf of the Company or any Selling Stockholder, or any of their officers, directors or controlling persons within the meaning of the Act or the Exchange Act, and shall survive the delivery of the Shares to the several Underwriters hereunder or termination of this Agreement.

All representations, warranties, covenants and agreements of the Company and you herein or in certificates delivered pursuant hereto, and the indemnity and contribution agreements contained in Section 11 hereof shall remain operative and in full force and effect regardless of any investigation made by or on behalf of you or any person controlling you within the meaning of the Securities Act or the Exchange Act, or by or on behalf of the Company or any of its officers, directors or controlling persons within the meaning of the Securities Act or the Exchange Act, and shall survive the completion of the Exchange Offer or termination of this Agreement.

All representations, warranties, covenants and agreements of the Company contained in this Agreement, or contained in certificates of officers of the Company submitted pursuant hereto, shall be deemed to be representations, warranties, covenants and agreements at the Closing Date and each Option Closing Date, if any, and such representations, warranties, covenants and agreements of the Company, and the respective indemnity and contribution agreements contained in Section 7 hereof, shall remain operative and in full force and effect regardless of any investigation made by or on behalf of any Underwriter, the Company, any controlling person of any Underwriter or the Company, and shall survive the termination of this Agreement or the issuance and delivery of the Securities to the Underwriter.

All representations, warranties, covenants and agreements contained in this Agreement or contained in certificates of officers of the Company and the Parent submitted pursuant hereto, shall be deemed to be representations, warranties and agreements at the Closing Date and each Option Closing Date, as the case may be, and such representations, warranties and agreements of the Company and the indemnity agreements contained in SECTION 7 hereof, shall remain operative and in full force and effect regardless of any investigation made by or on behalf of any Underwriter, the Company, the Parent, any controlling person of any Underwriter, the Company, the Parent and shall survive termination of this Agreement or the issuance and delivery of the Securities to the Underwriters and the Representative, as the case may be.

All representations, warranties, covenants and agreements of the Company and the Underwriters herein or in certificates delivered pursuant hereto, and the indemnity and contribution agreements contained in Section 8 hereof, shall remain operative and in full force and effect for a period of the applicable federal and state statutes of limitations regardless of any investigation made by or on behalf of any Underwriter or any control person within the meaning of the 1933 Act or the 1934 Act, or by or on behalf of the Company or any of its officers, directors or control persons within the meaning of the 1933 Act or the 1934 Act, and shall survive the delivery of the Shares to the several Underwriters hereunder and the termination of this Agreement.
