Registration Demand definition

Registration Demand has the meaning set forth in Section 3.1(a).

Registration Demand means a written notice from the Holders of a majority of the Registrable Securities to the Company demanding that the Company file a Registration Statement covering the Registrable Securities; provided, however, that the Holders shall have the right to give only one Registration Demand and, provided, further, that, for purposes of determining whether the Holders may make a Registration Demand, no Registration Demand shall be deemed to have been given unless the same shall have resulted in a Registration Statement being declared effective by the Commission.

  • Any registration pursuant to such a Registration Demand may, if so requested in the underlying Registration Demand, be a "shelf" registration for an offering of Registrable Securities on a continuous or delayed basis pursuant to Rule 415 under the Securities Act (or any successor rule that is subsequently adopted by the SEC).

  • Subject to the terms and conditions of this Article 3, each Eligible Holder shall have the right to submit a Registration Demand to effect the registration on Form F-1 (or any successor form) of all or any portion of the Registrable Securities held by such Eligible Holders; provided, that the Eligible Holders, shall be limited to three such Registration Demands.
