Registration Deadline means, for purposes of the Registration Statement required pursuant to Section 2(a)(i), the earlier of (i) the date that is seventy-five (75) days after the date that the applicable Registration Statement is actually filed or (ii) the date that is seventy-five (75) days after the applicable Filing Deadline and, with respect to any Registration Statement required pursuant to Section 2(a)(ii), the Additional Registration Deadline.
Registration Deadline has the meaning set forth in Section 2.3 hereof.

Registration Deadline means the earliest of (i) the one hundred and twentieth (120th) calendar day following the Closing Date, (ii) the sixtieth (60th) calendar day following the Filing Deadline, and (iii) the fifth (5th) Business Day after the Company learns that no review of the Registration Statement will be made by the staff of the Commission or that the staff of the Commission has no further comments on the Registration Statement.
