Long-Form Registration definition

Long-Form Registration has the meaning set forth in Section 2(a).

Long-Form Registration means a registration under the Securities Act on Form S-1 or any similar form.

Long-Form Registration shall have the meaning set forth in Section 3(a).

Examples of Long-Form Registration in a sentence

• Each request for a Long-Form Registration shall specify the number of Registrable Securities requested to be included in the Long-Form Registration.

• Otherwise, the Demand Registration will be a Long-Form Registration.

• Each request for a Long-Form Registration shall specify the approximate number of Registrable Securities required to be registered.

• Each request for a Long-Form Registration or Short-Form Registration shall specify the approximate number of Registrable Securities requested to be registered and the anticipated per share price range for such offering.

• Any such requested Long-Form Registration or Short-Form Registration shall hereinafter be referred to as a “Demand Registration.” Each request for a Demand Registration shall specify the kind and aggregate amount of Registrable Securities to be Registered and the intended methods of disposition thereof.

Long-Form Registration has the meaning ascribed to it in Section 4.1(a).
