Long-Form Registration has the meaning set forth in Section 3(a).

Long-Form Registration means a registration under the Securities Act on Form S-1 or any similar form.

• Demand Registrations will be Short-Form Registrations whenever the Company is permitted to use any applicable short-form registration statement (unless the managing underwriter(s) of such offering reasonably requests the Company to use a Long-Form Registration in order to sell all of the Registrable Securities requested to be sold).
