Demand Registrations will be Short-Form Registrations whenever the Company is permitted to use any applicable short-form registration statement (unless the managing underwriter(s) of such offering reasonably requests the Company to use a Long-Form Registration in order to sell all of the Registrable Securities requested to be sold).
The Company shall not be required to effect a Long-Form Registration more than two times for the holders of Registrable Securities as a group.
Each request for a Long-Form Registration shall specify the number of Registrable Securities requested to be included in the Long-Form Registration.
The Company shall prepare and file with (or confidentially submit to) the Commission a Registration Statement on Form F-1 or any successor form thereto covering all of the Registrable Securities that the holders thereof have requested to be included in such Long-Form Registration within 30 calendar days after the date on which the initial request is given and shall use its best efforts to cause such Registration Statement to be declared effective by the Commission as soon as practicable thereafter.
