Purchaser’s Certificate definition

Purchaser’s Certificate shall have the meaning ascribed thereto in Section 5.2(d) hereof.

Purchaser’s Certificate means the form of certificate to be executed and delivered by Purchaser to Seller at the Closing with respect to the truth and accuracy of Purchaser’s warranties and representations contained in this Agreement (modified and updated as the circumstances require), in the form attached hereto as SCHEDULE 7.
