Guarantor’s Officers’ Certificate definition

Guarantor’s Officers’ Certificate means, with respect to any Guarantor, a certificate signed by any two of the following: a Chairman of the Board, a Chief Executive Officer, a President, a Vice President, a Treasurer, an Assistant Treasurer, a Secretary or an Assistant Secretary of such Guarantor, or any other officer or officers of such Guarantor designated in a writing by or pursuant to authority of such Guarantor’s Board of Directors and delivered to the Trustee from time to time.

Guarantor’s Officers’ Certificate means, with respect to any Guarantor, a certificate signed by any two Officers of such Guarantor.

Guarantor’s Officers’ Certificate means a certificate signed by the Chairman of the Guarantor’s Board of Directors, a Vice Chairman, the Chief Executive Officer, the Chief Financial Officer, the Chief Accounting Officer, the Chief Legal Counsel, the Secretary or the Assistant Secretary of the Guarantor, that complies with the requirements of Section 314(e) of the Trust Indenture Act and is delivered to the Trustee.

Examples of Guarantor’s Officers’ Certificate in a sentence

• Each such certificate or opinion shall be given in the form of an Officers’ Certificate, if to be given by an officer of the Company, or a Guarantor’s Officers’ Certificate, if to be given by an officer of any Guarantor, or an Opinion of Counsel, if to be given by counsel, and shall comply with the requirements of the Trust Indenture Act and any other requirements set forth in this Indenture.

• In executing, or accepting the additional trusts created by, any supplemental indenture permitted by this Article or the modifications thereby of the trusts created by this Indenture, the Trustee shall be entitled to receive, and (subject to Section 601) shall be fully protected in relying upon, an Opinion of Counsel and Officers’ Certificate and Guarantor’s Officers’ Certificate, as the case may be, stating that the execution of such supplemental indenture is authorized or permitted by this Indenture.

• Any certificate or opinion required to be given by an officer pursuant to Section 314(c)(1) may be given in the form of a Guarantor’s Officers’ Certificate.

• Each such certificate or opinion shall be given in the form of an Officers’ Certificate, if to be given by an officer of an Issuer or the General Partner, or a Guarantor’s Officers’ Certificate, if to be given by an officer of any Guarantor, or an Opinion of Counsel, if to be given by counsel, and shall comply with the requirements of the Trust Indenture Act and any other requirements set forth in this Indenture.

More Definitions of Guarantor’s Officers’ Certificate

Guarantor’s Officers’ Certificate means, with respect to any Guarantor, a certificate signed by the Chairman, the Chief Executive Officer, the President, the Chief Financial Officer, a Vice President, the Treasurer, an Assistant Treasurer, the Secretary or an Assistant Secretary of such Guarantor or of such Guarantor’s general partner, managing partner or managing member, that, if required by the Trust Indenture Act, complies with the requirements of Section 314(e) of the Trust Indenture Act. In the event that Guarantor’s Officer’s Certificates relating to the same matter shall be delivered by two or more Guarantors on the same date, such certificates may be combined into a single certificate, provided that the certifications made by each Guarantor therein shall be several and not joint certifications of each such Guarantor.

In the event that any provision of this Indenture shall call for the delivery of an Officers' Certificate and one or more Guarantor's Officers' Certificates or for the delivery of two or more Guarantor's Officers' Certificates in connection with any matter, then it is not necessary that the Company and all such Guarantors, as the case may be, deliver separate certificates but, instead, such certificates may be combined into a single document.

Guarantor’s Officers’ Certificate means a certificate delivered to the Trustee and signed by an executive director or an assistant director or the secretary or a deputy or assistant secretary or an Executive Officer of the Guarantor.
