Purchased Contracts and Permits shall have the meaning provided in Section 2.2.

  • If a consent or approval is required by any party under any of the Contracts included in the Purchased Contracts and Permits and is not obtained on or before the Closing or if an attempted assignment is ineffective, Seller shall cooperate with Purchaser in any reasonable arrangement requested by Purchaser to provide for Purchaser the benefits under any such Contracts.

  • Purchaser's failure to obtain any or all of the Purchased Contracts and Permits and Governmental Authority consents or estoppel certificates as of the Closing Date shall not be a condition precedent to either party's obligation to close the transaction contemplated by this Agreement.

  • The closing of the purchase and sale of the Purchased Assets and the assignment and assumption of the Purchased Contracts and Permits, the Assigned Seller Claims and the Assumed Liabilities (the “Closing”) shall take place at the offices of Husch & Eppenberger, LLC, Peoria, Illinois, on June 20, 2003.

  • Assumed Contracts has the meaning set forth in Section 2.1(d).

  • Assigned Contracts has the meaning set forth in Section 2.01(c).

  • Licenses and Permits means, collectively, all of Seller’s right, title and interest, to the extent assignable, in and to licenses, permits, certificates of occupancy, approvals, dedications, subdivision maps and entitlements now or hereafter issued, approved or granted by the Authorities in connection with the Real Property and the Improvements, together with all renewals and modifications thereof.

  • Purchased Contracts has the meaning set forth in Section 2.1.1(a).

  • Seller Contracts means those Contracts of Seller or any Other Seller that relate primarily to the Business.

  • Acquired Contracts has the meaning given in Section 2.1(a).

  • Retained Contracts means all contracts, agreements, leases, software licenses, rights, obligations or other commitments of the Company that (a) arise out of or are related exclusively to any business or operation of the Company other than the Business, or (b) arise out of or are related in any way to the Business and which, in the case of both clauses (a) and (b) herein, are not Transferred Contracts.

  • Transferred Permits has the meaning set forth in Section 1.1(b).

  • Scheduled Contracts has the meaning set forth in Section 4.16.

  • Related Contracts is defined in clause (c) of Section 2.1.

  • Seller Contract any Contract (a) under which Seller has or may acquire any rights or benefits; (b) under which Seller has or may become subject to any obligation or liability; or (c) by which Seller or any of the assets owned or used by Seller is or may become bound.

  • Service Contracts means contracts or agreements, such as maintenance, supply, service or utility contracts.

  • Shared Contracts has the meaning specified in Section 4.12(b).

  • Customer Contracts has the meaning set forth in Section 2.1(b)(ii)(A).

  • Assumed Leases has the meaning set forth in Section 2.1(l).

  • Material Contracts has the meaning set forth in Section 3.09(a).

  • Executory Contracts means executory contracts and unexpired leases as such terms are used in 11 U.S.C. § 365, including all operating leases, capital leases, and contracts to which the Debtor is a party or beneficiary on the Confirmation Date.

  • Specified Contracts has the meaning set forth in Section 4.13(a).

  • Seller Plans has the meaning set forth in Section 3.13(a).

  • Hotel Contracts shall have the meaning set forth in Section 10.2(d).

  • Intellectual Property Contracts means all agreements concerning Intellectual Property, including without limitation license agreements, technology consulting agreements, confidentiality agreements, co-existence agreements, consent agreements and non-assertion agreements.
