Provider Event definition

Provider Event means termination of a Fund Provider as the provider of the applicable Administrative Services, Maintenance Services and/or services as Lease Manager. A Provider Event may be cured if (x) the grounds for removal are waived in writing by the Tax Equity Member or cease to exist, (y) by the appointment of the Back-Up Servicer as a replacement Fund Provider in respect of the Administrative Services and a Qualified Manager as a replacement Fund Provider in respect of the Maintenance Services and, if applicable, services as Lease Manager, and (z) by the appointment of a Qualified Manager as the replacement Fund Provider in respect of all applicable services.

  • If Service Provider, Event Organizer or the security company working at the venue believes that the safety features on the Ticket are damaged, incomplete, show signs of deliberate damage or they perceive the Ticket to be reproduced or copied, holder of the Ticket may be refused entry to the Event or ordered to leave the venue of the Event.

  • Provided that if the Agreement is terminated due to any event other than a Service Provider Event of Default, the Performance Security if subsisting as of the Termination Date shall, subject to USMSP’s right to receive amounts, if any, due from the Service Provider under this Agreement, be duly discharged and released to the Service Provider.

  • Without prejudice to any other right or remedy which USMSP may have in respect thereof under this Agreement, upon the occurrence of a Service Provider Event of Default, USMSP shall be entitled to terminate this Agreement in the manner as set out under Clause 9.2(a)(ii) and Clause 9.2(a)(iii).

  • BBMP Event of DefaultAny of the following events shall constitute an event of default by the BBMP ("BBMP Event of Default”), unless caused by a Service Provider Event of Default or a Force Majeure Event:i.

  • The City may, upon written notice to Services Provider, terminate this Agreement immediately “for cause” upon a Services Provider Event of Default.

  • Swap Provider Trigger Event A Swap Termination Payment that is triggered upon: (i) an Event of Default under the Interest Rate Swap Agreement with respect to which the Swap Provider is a Defaulting Party (as defined in the Interest Rate Swap Agreement), (ii) a Termination Event under the Interest Rate Swap Agreement with respect to which the Swap Provider is the sole Affected Party (as defined in the Interest Rate Swap Agreement) or (iii) an Additional Termination Event under the Interest Rate Swap Agreement with respect to which the Swap Provider is the sole Affected Party.

  • Liquidity Provider Ratings Event Termination Date means the date established by the Tender and Paying Agent, acting upon instructions of the Fund pursuant to the Tender and Paying Agent Agreement, for termination of the VRDP Purchase Agreement upon the occurrence of a Liquidity Provider Ratings Event, which date shall be not less than 16 days nor more than 30 days following such Liquidity Provider Ratings Event.

  • Servicer Event of Termination One or more of the events described in Section 7.01.

  • Unapplied Provider Advance means any Provider Advance other than an Applied Provider Advance.

  • Servicer Event of Default wherever used herein, means any one of the following events:

  • Trigger Event shall have the meaning specified in Section 14.04(c).

  • Master Servicer Event of Default wherever used herein, means any one of the following events:

  • Provider Service means a Provider’s hosted online services (if any) as described in the Solution Exhibit which is provided by Provider to Customers located in the Territory through remote access via the Internet as part of the BPO Service. A Provider Platform Application shall be considered a Provider Service.

  • Incipient Event of Termination means an event that but for notice or lapse of time or both would constitute an Event of Termination.

  • Enhanced Service Provider (ESP means the provider of enhanced services, as those services are defined in 47 CFR Section 64.702.

  • Emergency Event means any situation arising from sudden and reasonably unforeseen natural disaster such as earthquake, flood, fire, or other acts of God, or other unforeseen events beyond the control of drayage truck owners and operators that threatens public health and safety or the reasonable flow of goods movement.

  • Applied Provider Advance has the meaning assigned to such term in Section 2.06(a).

  • Special Servicer Termination Event shall have the meaning given to such term in the Lead Securitization Servicing Agreement.

  • Transfer Event means (i) a transfer of the ownership of a project, (ii) the sale or assignment of a partnership interest in a project owner and/or (iii) the refinancing of secured debt on a project. The following shall not be deemed a Transfer Event: (i) the transfer of the project or a partnership or membership interest in a project owner in which reserves remain with the project and the debt encumbering the project is not increased, refinanced or otherwise modified, (ii) the refinancing of project debt which does not increase the outstanding principal balance of the debt other than in the amount of the closing costs and fees paid to the project lender and third parties as transaction

  • Swap Termination Event means any event defined as a “Termination Event” in the Interest Rate Swap Agreement.

  • Servicer Termination Event shall have the meaning assigned to such term in the Lead Securitization Servicing Agreement or at any time that the Mortgage Loan is no longer subject to the provisions of the Lead Securitization Servicing Agreement, any analogous concept under the servicing agreement pursuant to which the Mortgage Loan is being serviced in accordance with the terms of this Agreement.

  • Servicer Termination Events (or any analogous term under the Lead Securitization Servicing Agreement) include customary market termination events with respect to failure to make advances, failure to timely remit payments to the Non-Lead Note Holders as required hereunder or under the Lead Securitization Servicing Agreement (subject to no more than one business day grace period), failure to timely deposit amounts into any REO Account or to remit to a Servicer for deposit into a related collection or custodial account, failure to deliver (or cause to be delivered) materials or information required in order for each Non-Lead Note Holder or each Non-Lead Depositor to timely comply with its obligations under the Exchange Act, the Securities Act and Form SF-3, and for rating agency downgrades or other triggers with respect to any certificates issued in connection with a Non-Lead Securitization, subject to customary grace periods (provided that, in the case of failures related to the securities laws, such grace periods will not cause a Non-Lead Depositor to fail to comply with the applicable provisions of such securities laws). Upon the occurrence of such a Servicer Termination Event with respect to the Master Servicer affecting a Non-Lead Securitization Note Holder and the Master Servicer is not otherwise terminated pursuant to the Lead Securitization Servicing Agreement, the Master Servicer shall be required, upon the direction of such Non-Lead Securitization Note Holder, to appoint a subservicer with respect to such Non-Lead Securitization Note. Upon the occurrence of a Servicer Termination Event with respect to the Special Servicer affecting a Non-Lead Securitization Note Holder and the Special Servicer is not otherwise terminated pursuant to the Lead Securitization Servicing Agreement, the Trustee shall, upon direction of such Non-Lead Securitization Note Holder, terminate the Special Servicer with respect to, but only with respect to, the Mortgage Loan;

  • Medicare Provider Agreement means an agreement entered into between CMS or other such entity administering the Medicare program on behalf of CMS, and a health care provider or supplier under which the health care provider or supplier agrees to provide items and services for Medicare patients in accordance with the terms of the agreement and Medicare Regulations.
