Examples of Provider Assets in a sentence
All Claims that any Provider Assets, Work Product, Provider Software, Provider Licensed Software, Services or any other item, information, system, Deliverable, software or service provided or used under the Agreement (the “Affected Material”) by Provider (or any Provider Agent), or use thereof (or access or other rights thereto) in accordance with the terms of the Agreement, infringes or misappropriates any Intellectual Property Right of a Third Party.
The books and records of the Provider Business that are necessary for the ownership and operation of the Provider Business and Provider Assets have been maintained in accordance with prudent industry practice and such books and records have been made available to Buyer.
Provider shall promptly remove from any Investors In-Scope Location any Provider Assets that Investors, or its designee, chooses not to purchase.
Schedule 4.13 of the Provider Disclosure Schedules sets forth a true and complete list of all patents, registered trademarks, registered copyrights, trade names, “DBAs” and applications therefor (collectively, “Registered Intellectual Property”) included among the Provider Assets that is material to the operation of the Provider Business.
The Provider Assets shall have been assigned to the Provider companies pursuant to an assignment agreement in substantially in the form attached hereto as Exhibit G (the “Asset Assignment Agreement”).
Except as necessary for the receipt and utilization of the Services hereunder and as may be granted with regard to Shared Contracts, nothing herein shall grant Recipient or any of its Subsidiaries any ownership interest or license in or to such Service Provider Assets.
Provider shall convey to Investors or its designee, from among those Provider Assets located at any In-Scope Location, such Provider Assets as Investors might select at a price that is greater than the remaining lease cost, or if the asset is not under lease, at the fair market value of that Provider Asset selected.
The Provider Companies have all Permits as are necessary for the ownership and operation of the Provider Business and Provider Assets except for those the failure of which to have would not reasonably be expected to have a Seller Material Adverse Effect.
Provider may, upon mutual agreement with Investors as to equipment and charges (if any), provide to Investors certain Provider Assets at mutually agreed location(s), and on a mutually agreed delivery schedule all determined using the change management procedure described in Section 7.4. Investors will prepare and maintain, at Investors’ cost and expense, any Investors In-Scope Locations in which Provider Assets will be installed.
All outstanding Liens (excluding Permitted Liens) on the Provider Companies or to which the Provider Assets are subject shall be released.
