Private Asset definition

Private Asset means a Collateral Obligation designated as such pursuant to Section 8.2(a).
Private Asset means any property that is not an enterprise asset.
Private Asset means a Collateral Obligation designated as such pursuant to Section 8.2(a). “Pro Rata Share” means, with respect to all payments, computations and other matters relating to (x) the Loans (Term Loan) of any Lender at any time, the percentage obtained by dividing (a) the outstanding principal amount of the Loans (Term Loan) by (b) the aggregate outstanding principal amount of the Loans (Term Loan) and (y) the Loans (Revolver) of any Lender at any time, the percentage obtained by dividing (a) the outstanding principal amount of the Loans (Revolver) plus the aggregate unused Commitments (Revolver) of that Lender at such time by (b) the aggregate outstanding principal amount of the Loans (Revolver) plus the aggregate unused Commitments (Revolver) of all Lenders at such time. “Proceeding” means any suit in equity, action at law or other judicial or administrative proceeding. “Proceeds” means (a) any property (including but not limited to Cash and securities) received as a Distribution on the Collateral or any portion thereof , (b) any property (including but not limited to Cash and securities) received in connection with the sale, liquidation, exchange or other disposition of the Collateral or any portion thereof and (c) all proceeds (as such term is def ined in the UCC) of the Collateral or any portion thereof . “Process Agent” is def ined in Section 11.16.

  • All associates of Private Asset Management units are prohibited from participating in investment clubs.

  • Associates of the Private Asset Management Real Estate units will be permitted to purchase shares of open end mutual funds that invest in REITs or real estate securities.

  • Real Estate Asset means, at any time of determination, any interest (fee, leasehold or otherwise) then owned by any Credit Party in any real property.

  • Real Estate Assets means any investment by the Company or the Operating Partnership in unimproved and improved Real Property (including fee or leasehold interests, options and leases), directly, through one or more subsidiaries or through a Joint Venture.

  • Underlying Asset means the object or underlying asset in a CFD which may be Currency Pairs (for FX Contracts), Equity Indices, base or precious Metals, Forwards, Commodities, Stocks, Shares Indices and Futures. It is understood that the list is subject to change and Clients must refer each time on the Trading Platform.

  • Portfolio Asset means an asset of an investment fund;

  • Real Property Asset means, at any time of determination, any interest then owned by any Loan Party in any real property.

  • Purchased Asset means (i) with respect to any Transaction, the Eligible Asset sold by Seller to Buyer in such Transaction and (ii) with respect to the Transactions in general, all Eligible Assets sold by Seller to Buyer (other than Purchased Assets that have been repurchased by Seller).

  • private dwelling means any part of a structure that is occupied as a residence, or any part of a structure or outdoor living area that is accessory to, and used wholly for the purposes of, a residence;

  • Collateral Security means security, other than a security interest in a motor vehicle that is the subject of an installment sale contract, that is given to secure performance of an obligation of the buyer, or of any surety or guarantor for the buyer, under an installment sale contract. The term includes the undertakings of any surety or guarantor for the buyer and any interest in, encumbrance on, or pledge of real or personal property other than the motor vehicle that is the subject of the installment sale contract.

  • Qualified Property has the meaning set forth in Section 313.021(2) of the TEXAS TAX CODE and as interpreted by the Comptroller’s Rules and the Texas Attorney General, as these provisions existed on the Application Review Start Date.

  • Securitization Property means the property described in section 10j.

  • Qualifying Asset in relation to any Project Financing means:

  • Undepreciated Real Estate Assets as of any date means the cost (original cost plus capital improvements) of real estate assets of the Company and its Subsidiaries on such date, before depreciation and amortization, determined on a consolidated basis in accordance with GAAP.

  • Substitute Property shall have the meaning set forth in Section 2.6 hereof.

  • Closing Date Mortgaged Property as defined in Section 3.1(i).

  • Securitization Asset means (a) any accounts receivable, mortgage receivables, loan receivables, royalty, franchise fee, license fee, patent or other revenue streams and other rights to payment or related assets and the proceeds thereof and (b) all collateral securing such receivable or asset, all contracts and contract rights, guarantees or other obligations in respect of such receivable or asset, lockbox accounts and records with respect to such account or asset and any other assets customarily transferred (or in respect of which security interests are customarily granted) together with accounts or assets in connection with a securitization, factoring or receivable sale transaction.
