The Asset Manager shall, on behalf of the Issuer, be responsible for obtaining, to the extent commercially practicable, applicable information concerning whether an Underlying Asset has become a Defaulted Obligation.
In connection with the assignment of the Transferor's rights under the Distribution Agreement, as applicable (including, without limitation, with respect to the such participations), the parties hereto agree to enter into a multiparty agreement among the Transferor, the Transferee and the Credit Facility Borrower to, among other things, effect the payment by the Transferee of the transfer price for each such Underlying Asset subject to such participation on the applicable Conveyance Date.
For the avoidance of doubt, the Transferor and the Transferee agree that the tenor, interest rate and other terms of each Participated Loan shall be coextensive with those of the related Underlying Asset.
Each Underlying Asset was originated or acquired without any fraud or material misrepresentation by the Transferor or, to the Transferor's knowledge, on the part of the related obligor.
Such calculations shall be based upon the principal amount of such Underlying Asset, except in the case of Defaulted Obligations and Credit Risk Obligations, in which case the calculations will be based upon the Principal Proceeds received on the disposition or sale of such Defaulted Obligation or Credit Risk Obligation.
