Pre-Completion Balance Sheet definition

Pre-Completion Balance Sheet means the balance sheet of the CCPH Group as at the end of the calendar month prior to Completion in substantially the format as set out in Part 3 of Schedule 8 (Purchase price adjustments) to be produced in accordance with the provisions of Schedule 8 (Purchase price adjustments) and subject to such adjustments as may be required pursuant to that Schedule;

Examples of Pre-Completion Balance Sheet in a sentence

  • No later than five (5) Business Days prior to the Completion Date, the Seller shall provide to the Purchaser a balance sheet of the Business Assets as at the last day of the second month prior to the Completion Date (the "Pre-Completion Balance Sheet").

  • The Pre-Completion Balance Sheet shall be prepared by the Seller in good faith on the basis of the principles set out in sub-clauses 7.1.2 and 7.1.3 and in the same format as the pro forma balance sheet set out in Schedule 5.

  • Company Balance Sheet means the consolidated balance sheet of the Company and its Subsidiaries as of December 31, 2016 and the footnotes thereto set forth in the Company’s annual report on Form 10-K for the fiscal year ended December 31, 2016.

  • Audited Balance Sheet means the audited balance sheet of the company prepared for the purposes of the Companies Acts for a financial year unless an audited consolidated balance sheet dealing with the state of affairs of the company and its subsidiary undertakings required to be dealt with in group accounts has been prepared for those purposes for the same financial year, in which case it means that audited consolidated balance sheet, and in that case all references to reserves shall be deemed to be references to consolidated reserves;

  • SpinCo Balance Sheet means the pro forma combined balance sheet of the SpinCo Business, including any notes and subledgers thereto, as of September 30, 2021, as presented in the Information Statement made available to the Record Holders.

  • Scheduled Completion Date shall be the date set forth in Clause 10.3;

  • Current closure cost estimate means the most recent of the estimates pre- pared in accordance with § 265.142 (a), (b), and (c).

  • Total Contract Price/Project Cost/TCO means the price payable to Service Provider over the entire period of Contract for the full and proper performance of its contractual obligations.

  • Project Completion Schedule means the progressive Project Milestones set forth in Schedule-J for completion of the Project Highway on or before the Scheduled Completion Date;

  • Pro Forma Balance Sheet as defined in Section 4.1(a).

  • Final Completion means the date determined and certified by A/E and Owner on which the Work is fully and satisfactorily complete in accordance with the Contract.

  • Unaudited Balance Sheet has the meaning set forth in Section 3.4(a)(ii).
