The Placement Agents have not made nor make any representation as to the Company or the quality or value of the Shares.
From and after the Disclosure Time, the Company represents and covenants to the Purchasers and the Placement Agents that the Company shall have publicly disclosed all material, non-public information regarding the Company or the transactions contemplated by the Transaction Documents delivered to any of the Purchasers by the Company or any of its officers, directors, employees or agents (including the Placement Agents) in connection with the transactions contemplated by the Transaction Documents.
The Placement Agents shall be the express third-party beneficiaries of the representations and warranties of the Company in Section 3.1 hereof and the representations and warranties of the Purchasers in Section 3.2 hereof.
Such Purchaser acknowledges and agrees that none of the Placement Agents or officers, directors, employees or other representatives, legal counsel, financial advisors, accountants or agents (collectively, “Representatives”) of the Placement Agents have provided such Purchaser with any information, recommendation or advice with respect to the Shares nor is such information, recommendation or advice necessary or desired.
No amendment, modification, alteration or change to Section 3.1, Section 3.2, Section 4.5, Section 4.11, Section 5.3, Section 5.9 and Section 5.20 can be made without the prior written consent of the Placement Agents.
