Except for the fees and expenses of the Placement Agents as set forth in the Engagement Letter, no brokerage or finder’s fees or commissions are or will be payable by the Company or any Subsidiary to any broker, financial advisor or consultant, finder, placement agent, investment banker, bank or other Person with respect to the transactions contemplated by the Transaction Documents.
For reasons of administrative convenience only, each Purchaser and its respective counsel have chosen to communicate with the Company through the legal counsel to the Placement Agents.
The legal counsel of the Placement Agents does not represent any of the Purchasers and only represents the Placement Agents.
The Company shall not amend, modify, waive or terminate any provision of any of the Lock-Up Agreements without the prior written consent of the Placement Agents and shall enforce the provisions of each Lock-Up Agreement in accordance with its terms.
