Permitted Minority Investments definition

Permitted Minority Investments means the Borrower’s minority Investments in the Equity Interests of each of Eton Pharmaceuticals, Inc., Surface Pharmaceuticals, Inc., and Melt Pharmaceuticals, Inc. in existence as of the Closing Date and, with respect to the Equity Interests of Melt Pharmaceuticals, Inc., any additional Investments received in full or partial satisfaction of the Indebtedness evidenced by the Melt Note (as in existence on the Closing Date).
Permitted Minority Investments means all investments, however so held, to acquire, purchase or obtain interests of less than 50% in Persons engaged in the tire and/or wheel business made by the Obligors pursuant to Section 11.11(c).
Permitted Minority Investments means Investments permitted by clause (f) of the definition of Permitted Investments.

  • Use the proceeds of the Credit Extensions (i) for working capital and capital expenditures, (ii) to repay all obligations owing under the Existing Credit Agreement, (iii) to finance Permitted Minority Investments and other Investments not prohibited by Section 7.02, (iv) to finance Permitted Acquisitions, (v) to finance Permitted Capital Stock Buybacks, and (vi) for other general corporate purposes not in contravention of any Law or of any Loan Document.


More Definitions of Permitted Minority Investments

Permitted Minority Investments means any acquisition by any Loan Party or any wholly owned Restricted Subsidiary of less than a majority of the aggregate Equity Interests having ordinary voting power for the election of directors or other governing body (other than securities or interests having such power only by reason of the happening of a contingency) of any Person (including any acquisition in which a Subsidiary that is not a Loan Party issues to any Person a majority of the Equity Interests of such Subsidiary in exchange for a contribution of assets constituting a business unit or division of such Person) so long as (a) the Person whose Equity Interests are acquired, or the business unit or division acquired, as the case may be, is engaged in a business that is the same as, or related to, the businesses engaged in by the Loan Parties on the Closing Date, (b) immediately after giving effect to such acquisition, the Company is in Pro Forma Compliance with the Financial Covenant set forth in Section 7.11, (c) immediately before and after giving effect to such acquisition, no Default or Event of Default shall exist and (d) the aggregate Permitted Minority Investment Consideration attributable for all such acquisitions shall not exceed $30,000,000 at any time outstanding.

  • Permitted Securitization Financing means one or more transactions pursuant to which (i) Securitization Assets or interests therein are sold or transferred to or financed by one or more Special Purpose Securitization Subsidiaries, and (ii) such Special Purpose Securitization Subsidiaries finance (or refinance) their acquisition of such Securitization Assets or interests therein, or the financing thereof, by selling or borrowing against Securitization Assets (including conduit and warehouse financings) and any Hedging Agreements entered into in connection with such Securitization Assets; provided, that recourse to the Borrower or any Subsidiary (other than the Special Purpose Securitization Subsidiaries) in connection with such transactions shall be limited to the extent customary (as determined by the Borrower in good faith) for similar transactions in the applicable jurisdictions (including, to the extent applicable, in a manner consistent with the delivery of a “true sale”/“absolute transfer” opinion with respect to any transfer by the Borrower or any Subsidiary (other than a Special Purpose Securitization Subsidiary).

  • Investment Assets means all debentures, notes and other evidences of Indebtedness, stocks, securities (including rights to purchase and securities convertible into or exchangeable for other securities), interests in joint ventures and general and limited partnerships, mortgage loans and other investment or portfolio assets owned of record or beneficially by the Company or any Subsidiary.

  • Permitted Financing means (i) the Company’s issuance of Common Stock and warrants therefore in connection with a merger and/or acquisition or consolidation, (ii) the issuance of shares of Common Stock or warrants therefore in connection with strategic license agreements so long as such issuances are not for the purpose of raising capital, (iii) the Company’s issuance of Common Stock or the issuance or grants of options to purchase Common Stock pursuant to the Company’s stock option plans and employee stock purchase plans as they now exist, and (iv) the issuance of Common Stock upon the exercise or conversion of any securities outstanding on the date hereof.

  • Major Asset Disposition means the sale or other disposition in one transaction or a series of related transactions of 50% or more of the assets of the Company and its subsidiaries on a consolidated basis; and any specified percentage or portion of the assets of the Company shall be based on fair market value, as determined by a majority of the members of the Incumbent Board;
