Definition of Performance Schedule


Performance Schedule means a schedule or other objective method for determining the applicable Performance Percentage to be applied to each Target Award.

If a requested change causes an increase or decrease in the cost or time required to perform this Agreement, the Parties will agree to an equitable adjustment of the Contract Price, Performance Schedule, or both, and will reflect the adjustment in a change order.
The Committee may, in its discretion, reduce or eliminate the amount payable to any Participant with respect to an Award that is intended to qualify as Performance-Based Compensation, based on such factors as the Committee may deem relevant, but the Committee may not increase any such amount above the amount established in accordance with the relevant Performance Schedule.

The number of Shares earned as determined under the Performance Schedule will be paid to you only if you become vested in the Shares.
