Performance Periods definition

Performance Periods shall have the meaning set forth in Exhibit A hereto.
Performance Periods means each of the First Performance Period, the Second Performance Period and the Third Performance Period.

Examples of Performance Periods in a sentence

  • As set forth in Section 3.6.2 of the Plan, upon a Change in Control, any outstanding Performance RSUs for open Performance Periods shall be deemed earned at the greater of Target Performance as set forth in Appendix A and actual performance through the date of the Change in Control and will cease to be subject to any further performance conditions but will continue to be subject to time-based vesting following the Change in Control.

  • As a reminder, Employer will recover from the Executive any incentive compensation previously paid to Executive, including any payments under the Profit Sharing Plan for any prior Performance Periods, required to be recovered by the Employer under the terms of the Clawback Policy (as defined in Section 12.i).

  • In calculating the number of Earned Units for the Full Three-Year Performance Period or for the Second Applicable Performance Period, the number of Earned Units, and the shares deemed earned with respect to the prior Applicable Performance Period(s) will be subtracted.

  • For each of the TSR Performance Periods, such number of Shares shall vest on the applicable Determination Date based on the Company's FFO Performance Multiplier for the FFO Performance Period and the Company’s Relative TSR Performance for such TSR Performance Period as is determined by multiplying (i) the Target Shares, by (ii) one-third (1/3), by (iii) the TSR Performance Multiplier (as determined below) for such TSR Performance Period (rounded to the nearest whole Share).

  • Subject to clauses (b), (c) and (d) and Section 2 below, the Shares shall vest based on the Company’s FFO Per Share performance for the FFO Performance Period and the Company’s Relative TSR Performance (as defined below) for the TSR Performance Periods.


More Definitions of Performance Periods

Performance Periods means the time period designated by the Company’s Compensation Committee for each Long-Term Award.
Performance Periods means the period(s) during which an employee must perform pursuant to the grant of a PSU; provided, however, that any such period must end on December 31 of the relevant fiscal year.
