  • While Peoples has used its reasonable best efforts to identify in the Peoples Disclosure Memorandum the particular representation or warranty or covenant to which each such disclosure or exception relates, each such disclosure or exception shall be deemed disclosed for purposes of all representations and warranties in Article Five, all covenants in Article Seven and the Disclosure Memorandum.

  • Except as described in the Peoples Disclosure Memorandum, Peoples is not, and has not been, a party to any collective bargaining agreement or agreement of any kind with any union or labor organization or to any agreement with any of its employees which is not terminable at will or upon ninety (90) days notice at the election of, and without cost or penalty to, Peoples.

  • By July 31, 2001, Peoples will deliver to United a memorandum (the "Peoples Disclosure Memorandum") containing certain information regarding Peoples as indicated at various places in this Agreement.

  • The Peoples Disclosure Memorandum contains a list identifying and briefly describing all written contracts, purchase orders, agreements, security deeds, guaranties or commitments to which Peoples is a party or by which it may be bound involving the payment or receipt, actual or contingent, of more than $25,000 or having a term or requiring performance over a period of more than ninety (90) days.

  • Peoples has no knowledge of any presently existing facts which could reasonably be expected to result in the loss of any material borrower or depositor or in Peoples’ inability to collect amounts due therefrom or to return funds deposited thereby, except as set forth on the Peoples Disclosure Memorandum.

  • The information contained in the Peoples Disclosure Memorandum shall be deemed to be part of and qualify all representations and warranties contained in this Article IV and the covenants in Article V to the extent applicable.

  • Except as set forth in the Peoples Disclosure Memorandum, no director, officer, or employee of Peoples serves, or in the past five years has served, as a director or officer of any other corporation on behalf of or as a designee of Peoples or any of its subsidiaries.

  • All information in each of the documents and other writings furnished to United pursuant to this Agreement or the Peoples Disclosure Memorandum is or will be true, correct and complete and does not and will not omit to state any fact necessary in order to make the statements therein not misleading.

  • Disclosure Memorandum means the set of numbered schedules referencing Sections of this Agreement delivered by Seller and dated of even date herewith, as supplemented by new or amended schedules delivered by Seller prior to the Closing.

  • Sellers Disclosure Schedule means the disclosure schedule delivered by the Sellers to the Purchaser on the date hereof.

  • Buyer Disclosure Schedule means the disclosure schedule of Buyer referred to in, and delivered pursuant to, this Agreement.

  • Parent Disclosure Schedule means the disclosure schedule dated the date hereof regarding this Agreement that has been provided by Parent to the Company.

  • Buyer Disclosure Letter means the letter, dated as of the date hereof, delivered by Buyer to Seller prior to the execution of this Agreement and identified as the Buyer Disclosure Letter.

  • Buyer Disclosure Schedules means the disclosure schedules delivered by Buyer to Seller concurrently with the execution and delivery of this Agreement.

  • Seller Disclosure Letter means the letter, dated as of the date hereof, delivered by Seller to Buyer prior to the execution of this Agreement and identified as the Seller Disclosure Letter.

  • Company Disclosure Schedule means the disclosure schedule of the Company referred to in, and delivered pursuant to, this Agreement.

  • Seller Disclosure Schedules means those certain Seller Disclosure Schedules dated as of the date of this Agreement, provided by Seller to Purchaser.

  • Public Filings means the reports, schedules, forms, statements and other documents filed by the Company or Bezeq with the SEC or the ISA, as applicable, and publically available at least two (2) Business Days prior to the date of this Agreement.

  • SEC Documents shall have the meaning specified in Section 4.5.

  • Disclosure Documents is defined in Section 5.3.

  • SEC Reports shall have the meaning ascribed to such term in Section 3.1(h).
