Parent Public Warrants definition

Parent Public Warrants has the meaning set forth in Section 5.14.
Parent Public Warrants means one warrant that was included as part of each Parent Unit, entitling the holder thereof to purchase one half of one share of Parent Class A Common Stock at an exercise price of $11.50 per share.
Parent Public Warrants means the warrants included as part of each Parent Unit sold by Parent in its initial public offering, with each such warrant entitling the holder thereof to purchase one (1) share of Parent Class A Common Stock at a purchase price of $11.50 per share.

  • As of the date hereof, there are issued and outstanding a total of (i) 5,750,000 Parent Public Warrants issued as part of Parent Units in the IPO, (ii) 4,820,000 Parent Sponsor/EBC Warrants and (iii) the Parent UPO to purchase up to 500,000 Parent Ordinary Shares and 500,000 Parent Public Warrants.

  • At the Redomestication Effective Time, the Parent Public Warrants shall cease to be outstanding and shall automatically be canceled and retired and shall cease to exist.

More Definitions of Parent Public Warrants

Parent Public Warrants means the redeemable warrants of Parent, each exercisable in accordance with its terms to purchase one (1) share of Parent Common Stock at an exercise price of eleven dollars and fifty cents ($11.50) per share, subject to adjustment, that were sold as part of the Parent units in Parent’s initial public offering.
Parent Public Warrants means the share purchase warrants of Parent entitling the holder thereof to purchase one Class A Restricted Voting Share included as a component of the Parent Public Units.
Parent Public Warrants has the meaning set forth in Section 4.2(b).
Parent Public Warrants means, collectively, those certain redeemable warrants exercisable for one share of Parent Class A Common Stock, each at an exercise price of $11.50 per share, issued in connection with the initial public offering of Parent’s securities. 84

Related to Parent Public Warrants

  • Parent Warrants shall have the meaning assigned to it in Section 1.7(c) hereof.

  • Public Way means the surface of, and the space above and below, any public street, highway, freeway, bridge, land path, alley, court, boulevard, sidewalk, way, lane, public way, drive, circle or other public right-of-way, including, but not limited to, public utility easements, dedicated utility strips, or easements dedicated for compatible uses and any temporary or permanent fixtures or improvements located thereon now or hereafter held by the Franchising Authority in the Franchise Area, which shall entitle the Franchising Authority and the Grantee to the use thereof for the purpose of installing, operating, repairing, and maintaining the Cable System. Public Way shall also mean any easement now or hereafter held by the Franchising Authority within the Franchise Area for the purpose of public travel, or for utility or public service use dedicated for compatible uses, and shall include other easements or rights-of-way as shall within their proper use and meaning entitle the Franchising Authority and the Grantee to the use thereof for the purposes of installing, operating, and maintaining the Grantee’s Cable System over poles, wires, cables, conductors, ducts, conduits, vaults, manholes, amplifiers, appliances, attachments, and other property as may be ordinarily necessary and pertinent to the Cable System.

  • Company Warrants means warrants to purchase shares of Company Common Stock.

  • Common Warrants means, collectively, the Common Stock purchase warrants delivered to the Purchasers at the Closing in accordance with Section 2.2(a) hereof, which Common Warrants shall be exercisable immediately and have a term of exercise equal to five (5) years, in the form of Exhibit A attached hereto.

  • Parent Shares means the shares of common stock, par value $0.01 per share, of Parent.

  • Parent Preferred Stock means the preferred stock, par value $0.01 per share, of Parent.

  • Company Warrant means a warrant to purchase shares of Company Capital Stock.

  • Parent Ordinary Shares means the ordinary shares, no par value per share, of Parent.
