Parent Director definition

Parent Director means each Parent nonemployee director as of immediately after the Effective Time who served on the Parent Board immediately prior to the Effective Time.

Parent Director means any person serving as a director on the Board of Directors of Parent on the date of this Agreement who continues to be such a director immediately prior to the Effective Time.

Parent Director shall have the meaning assigned in Section 3.4(a).

More Definitions of Parent Director

Parent Director means any non-employee director serving on the Parent Board as of and immediately following the Distribution Date, provided that such non-employee director does not also serve on the SpinCo Board as of and immediately following the Distribution Date.

Parent Director means a member of a Parent Board.

Parent Director means any individual who is or was previously a non-employee member of the board of directors of Parent.

"Combination Transaction" means any merger, consolidation or other business combination transaction the definitive agreement for which is first approved by Parent's Board of Directors after the Effective Time (including any acquisition of any business or Person pursuant to a stock or asset purchase or otherwise) by or involving Parent or any Subsidiary of Parent.

Parent Director means any director appointed by Parent pursuant to Regulation 49;
