OWNERSHIP AND VALIDITY. Licensee acknowledges Index Providers’ ownership of the entire right, title and interest in and to the Indexes and Marks and Licensee’s use shall inure to the sole benefit of the applicable Index Provider.

OWNERSHIP AND VALIDITY. Licensee acknowledges Licensor’s ownership of the entire right, title and interest in and to the IP and Licensee’s use shall inure to the sole benefit of Licensor. Licensor represents and warrants that it is the sole owner of all right, title and interest in the IP, free and clear of any restriction or encumbrance that would limit Licensee’s ability to use the IP pursuant to this Agreement, and that the IP does not violate the rights of any third party.

Licensee acknowledges Licensor’s ownership of the entire right, title and interest in and to the Websites, the Marks and the Names and all trademark and service xxxx registrations and applications which include the Marks and/or Names in the United States and Canada, as applicable. Licensee acknowledges that its use shall not create in Licensee any right, title or interest in the Websites, the Marks or the Names and that all use of same and goodwill connected with the use thereof, symbolized thereby, and associated therewith shall inure to the benefit of Licensor. Licensee shall take no action challenging the validity of, or Licensor’s right in, the Marks, Names and Websites.

Licensee acknowledges ownership of the entire right, title and interest in and to the Indexes and Marks vests entirely in the Index Providers and, to the extent provided in the JPMIM Licenses, JPMIM, and Licensee’s use shall inure to the sole benefit of JPMIM and the applicable Index Provider.
OWNERSHIP AND VALIDITY. From and after the Closing, no Seller (i) will have or assert any right or interest in any Owned Intellectual Property, (ii) will use any Intellectual Property licensed by Company unless pursuant to a separate license held by such Seller or its Affiliate, as applicable, and (iii) will not contest to the ownership, validity or scope of any of the rights of, or rights claimed by, either (A) the Company in any Owned Intellectual Property existing at the Effective Time or developed or derived from such intellectual property at the Effective Time, or (B) any other Person with respect to any Intellectual Property licensed by Company at the Effective Time.

Licensee acknowledges Index Providers’ ownership of the entire right, title, and interest in and to the Indexes and Marks, and that Licensee’s use of the Marks shall inure to the sole benefit of the applicable Index Provider. To the extent that Licensee creates Derivative Works under this Agreement, such Derivative Works shall be owned exclusively by Harbor. To the extent an assignment is necessary, Licensee agrees to assign, and hereby assigns, to Licensor all of its right, title and interest in and to such Derivative Works.
OWNERSHIP AND VALIDITY. Immediately after the Closing, Company will be the sole owner of, and will have valid title to, the Company Intellectual Property, and will have the full right to use, license, and transfer the Company Intellectual Property in the same manner and on the same terms and conditions that Company had immediately prior to the Closing, subject to Company obtaining the consents set forth in Section 2.8(a)(i) of the Company Disclosure Schedule. To Company’s Knowledge, there is no fact or circumstance that would likely render invalid under applicable Legal Requirements any issued Patent or registered Trademark included in the Company Intellectual Property.
