NP Participant definition

NP Participant means a Person that has entered into a “participation agreement” with MX to act as a Data Provider and/or a Data Recipient, but is not a Party to the Agreement.

Examples of NP Participant in a sentence

  • MX may in its sole discretion terminate the Agreement at any time if MX determines in its sole discretion that Participant’s actions and/or continued participation in MX would, or is reasonably likely to, endanger the privacy or security of Patient Data or otherwise result in a breach of the Agreement that is reasonably likely to harm MX or an NP Participant.

  • A notification service that alerts Participant when a Patient of Participant is: (i) seen in the emergency department of Participant or an NP Participant; or (ii) admitted to or discharged from the hospital of Participant or an NP Participant.

  • This Section 9.1.2 shall be for the benefit of SACVALLEY MEDSHARE and any NP Participant legally required to make such notification.

  • Participant will not be deemed an agent of an NP Participant as a result of participation in this Agreement.

  • The Data from NP Participants will be made available to Participant only if, when, and to the extent it is provided by such NP Participant to the Exchange.

  • SACVALLEY MEDSHARE shall ensure that each NP Participant enters into a Participation Agreement that contains substantially the same terms as the Participation Agreements of similarly situated NP Participants (as well as Participant, if similarly situated), and requires the NP Participant to adhere to uniform standards for Data privacy, security and use; it being acknowledged, however, that NP Participants will have varying ability to contribute Data.
