Each Notice of Tranche B Borrowing or telephonic notice of each borrowing shall be irrevocable once given and binding on the Borrower or the NY Borrowers, as applicable.

For the purposes of determining compliance with this Section 3.01, the Dollar Equivalent of all non-Dollar denominated Tranche B Loans outstanding at any time shall be determined, in accordance with Section 3.02, by the Tranche B Agent immediately prior to the issuance by the Company (on behalf of itself or an Asian Borrower) of a Notice of Tranche B Borrowing.
