Notice of Intent to File definition

Notice of Intent to File means a written notice given by the Company pursuant to Section 2.C or Section 3.A that the Company is preparing to file a Primary Distribution Registration Statement or a Secondary Distribution Registration Statement under the Securities Act relating to an Underwritten Public Offering of Common Stock.
Notice of Intent to File means a brief project description and an estimate of the anticipated project expenditures to be covered by a grant award. This notice will be used by the Director to determine the number of jurisdictions that plan to request a grant award and the equitable amount of grant monies that ultimately may be applied for by each eligible jurisdiction.
Notice of Intent to File means written notice from the Company to the Investor of the Company's intent to file a Registration Statement in accordance with Section 2 or 3 herein. 3 "Person" shall mean an individual, a corporation, a partnership, a trust, an unincorporated organization or a government or any agency or political subdivision thereof.

  • Following receipt of the Notice of Intent to File a Protest, a “Protest Bond” and “Formal Written Protest” must be filed within ten (10) business days of Posting of the Notice of Intended Decision.

  • Notice of Lien means any "notice of lien" or similar document intended to be filed or recorded with any court, registry, recorder's office, central filing office or other Governmental Authority for the purpose of evidencing, creating, perfecting or preserving the priority of a Lien securing obligations owing to a Governmental Authority.
