Notice of Disposition definition

Notice of Disposition means the notice, substantially in the form attached hereto as Schedule “B” or such other form as may be approved by the Board from time to time, whereby an Optionee notifies the Corporation of its intention to use the cashless manner of exercise of vested Options in accordance with Section 2.8;
Notice of Disposition means the notice, in substantially the form attached hereto as Schedule B, whereby an Optionee notifies the Company of its intention to use the cashlessNet Settlement manner of exercise of vested Options in accordance with the provisions of section 4.24.7 of this Plan.
Notice of Disposition shall have the meaning specified in Section 11.05(a).

  • Disposition Notice is defined in Section 5.2(a).

  • Disqualifying Disposition means any disposition (including any sale) of Stock acquired upon the exercise of an Incentive Stock Option made within the period that ends either (1) two years after the date on which the Participant was granted the Incentive Stock Option or (2) one year after the date upon which the Participant acquired the Stock.

  • Major Asset Disposition means the sale or other disposition in one transaction or a series of related transactions of 50% or more of the assets of the Company and its subsidiaries on a consolidated basis; and any specified percentage or portion of the assets of the Company shall be based on fair market value, as determined by a majority of the members of the Incumbent Board;

  • Permitted Asset Dispositions means the following Asset Dispositions, provided, however, that at the time of such Asset Disposition, no Default or Event of Default exists or would result from such Asset Disposition:

  • REO Disposition Proceeds All amounts received with respect to an REO Disposition pursuant to Section 4.16.
